Common use of Anti-Corruption Laws Clause in Contracts

Anti-Corruption Laws. No Borrower shall, directly or, to its knowledge, indirectly, use the proceeds of any Credit Extension for any purpose which would breach the United States Foreign Corrupt Practices Act of 1977, the UK Xxxxxxx Xxx 0000, and other similar anti-corruption legislation in other jurisdictions.

Anti-Corruption Laws. No The Borrower shallwill not, and will not permit any Subsidiary to, directly or, to its knowledge, indirectly, or indirectly use the proceeds of any Credit Extension for any purpose which would breach the United States Foreign Corrupt Practices Act of 1977, the UK Xxxxxxx Xxx 0000, 0000 and other similar anti-corruption legislation in other jurisdictions.

No The Borrower shall, shall not directly or, to its knowledge, indirectly, or indirectly use the proceeds of any Letter of Credit, Swing Line Loan or Revolving Credit Extension Loan for any purpose which would breach the United States Foreign Corrupt Practices Act of 1977, the UK Xxxxxxx Xxx 00000000 (or, and other to the knowledge of the Borrower, any similar anti-corruption legislation in such other jurisdictionsjurisdictions in which such Loan Party and/or its Subsidiaries conduct business).

No Borrower shallwill, directly or, to its knowledgethe knowledge of the Company after exercising commercially reasonable due diligence, indirectly, use the proceeds of any Credit Extension for any purpose which would breach the United States Foreign Corrupt Practices Act of 1977, the UK Xxxxxxx Xxx 0000, and or other similar anti-corruption legislation in other jurisdictions.

Anti-Corruption Laws. No Borrower shall, The Borrowers and their Subsidiaries shall not directly or, to its knowledge, indirectly, or indirectly use the proceeds of any L/C Borrowing or Revolving Credit Extension Loan for any purpose which would breach the United States Foreign Corrupt Practices Act of 1977, the UK Xxxxxxx Xxx 0000, and other similar anti-corruption legislation in other jurisdictions. (p) Section 13.4 of the Credit Agreement is hereby replaced in its entirety with the following:

No Borrower shall, directly or, to To its knowledge, indirectlyno Borrower will, nor will it permit any of its Subsidiaries to, directly or indirectly use the proceeds of any Credit Extension for any purpose which would breach result in a material violation of the United States Foreign Corrupt Practices Act of 1977, the UK Xxxxxxx Bribxxx Xxx 0000, and xx other similar anti-corruption legislation in other jurisdictions.
