An Anti-Counterfeiting clause is designed to prevent the production, distribution, or sale of unauthorized copies or imitations of a party’s products or intellectual property. This clause typically requires parties to take reasonable steps to protect against counterfeiting, such as monitoring supply chains, reporting suspected infringements, and cooperating in enforcement actions. Its core function is to safeguard the integrity and value of genuine products, thereby protecting brand reputation and reducing the risk of consumer deception or financial loss due to counterfeit goods.

Anti-Counterfeiting. The merchandise that you will consign to us for using our services must be authentic. You represent, warrant and guarantee that your consignment does not infringe upon any patent, or any trademark, copyright, trade secret, right of publicity, any other intellectual property right or contain any other counterfeit merchandise, including any products that have been illegally replicated, reproduced, or manufactured; and there is currently no actual or threatened suit against you by any third party based on an alleged violation of such right. You fully understand that:
6.1. It is your responsibility to source and consign us only authentic products.
6.2. We have the right to have your consignment inspected by the inspection authority in the original port. If any counterfeit merchandise is found and confirmed by the related inspection authority to us, we may immediately terminate our service(s) and seize, sequester or destroy the related inventory in our local logistics centers without reimbursement. In addition, please be advised that the consignment of counterfeit goods can lead to legal action by rights holders and civil and criminal penalties against you.
6.3. If any counterfeit merchandise is found by local customs during the process of transportation, the local customs will confiscate the merchandise immediately and we also shall terminate our service(s) to you immediately. You shall solely be liable for any fine(s) imposed, confiscation or legal actions that may arise, and any direct or indirect, civil or criminal penalties.
6.4. We are not obliged to check whether your inbound inventory contains counterfeit merchandise. However, we shall be entitled to require you to provide a brand authorization certificate or other authenticating documents if we suspect that the inventory contains counterfeit merchandise. If you fail to provide us the brand authorization certificate or other authenticating documents within three (3) business days, we shall have the right, at our election, to immediately terminate our service(s) and seize, sequester or destroy the related inventory in our local logistics centers without reimbursement, and we shall have the right to turn it in into law enforcement. In addition, you shall solely be liable for any destruction fee and fine(s) imposed, confiscation or legal actions that may arise, and any direct or indirect, civil or criminal penalties.

Party A represent, warrant and guarantee that Party A’s consignment does not infringe upon any patent, or any Trademark, copyright, trade secret, right of publicity, any other Intellectual Property Right(s) or contain any other counterfeit merchandise, including any products that have been illegally replicated, reproduced, or manufactured; and there is currently no actual or threatened suit against Party A by any third party based on an alleged violation of such right. Party A fully understand that:
10.1. It is Party A’s responsibility to source and consign Party B only authentic products.
10.2. Party B have the right to have Party A’s consignment inspected by the inspection authority in the original port. If any counterfeit merchandise is found and confirmed by the related inspection authority to us, Party B may immediately terminate Party B’s service(s) and seize, sequester or destroy the related inventory in Party B’s local logistics centers without reimbursement. In addition, please be advised that the consignment of counterfeit goods can lead to legal action by rights holders and civil and criminal penalties against Party A.
10.3. If Party A fail to provide Party B the brand authorization certificate or other authenticating documents within three (3) business days, Party B shall have the right, at Party B’s election, to immediately terminate Party B’s service(s) and seize, sequester or destroy the related inventory in Party B’s local logistics centers without reimbursement, and Party B shall have the right to hand it over to Law enforcement agencies.
