The IPTV Operator shall comply with the Anti-Piracy Requirements set out in Clause VI and VII in ANNEXURE XII and also provide full and complete information for conducting Technical Audit by the auditors, empaneled by the Authority for conducting such audit, by furnishing details outlined in Clause I, II, III, IV and V of ANNEXURE XII attached herewith. The IPTV Operator shall deploy finger printing mechanisms to detect any piracy, violation of copyright and unauthorized viewing of the Channels, distributed / transmitted through its Platform at least every 10 minutes on 24 x 7 x 365(6) basis. The IPTV Operator shall not authorize, cause or suffer any portion of any of the Zee Group Channels to be recorded, duplicated, cablecast, exhibited or otherwise used for any purpose other than for distribution by the IPTV Operator at the time these Channels are made available. If the IPTV Operator becomes aware that any unauthorized third party is recording, duplicating, cablecasting, exhibiting or otherwise using any or all of the Zee Group Channels for any other purpose, the IPTV Operator shall within ten minutes of so becoming aware of such recording, duplicating, cablecasting, exhibiting or otherwise using any or all of the Zee Group Channels for any other purpose, notify ZEEL and the IPTV Operator shall also switch off the concerned Set Top Box to prevent such unauthorized use. The IPTV Operator MSO shall not authorize, cause or suffer any portion of any of the Zee Group Channels to be recorded, duplicated, cablecast, exhibited or otherwise used for any purpose other than for distribution by the IPTV Operator MSO at the time these Channels are made available. If the IPTV Operator MSO becomes aware that any unauthorized third party is recording, duplicating, cablecasting, exhibiting or otherwise using any or all of the Zee Group Channels for any other purpose, the IPTV Operator MSO shall within ten minutes of so becoming aware of such recording, duplicating, cablecasting, exhibiting or otherwise using any or all of the Zee Group Channels for any other purpose, notify ZEEL and the IPTV Operator MSO shall also switch off the concerned Set Top Box to prevent such unauthorized use. However, use of a Set Top Box with Personal Video Recorder/ Digital Video Recorder facility which has been supplied by the IPTV Operator MSO shall not be treated as unauthorized use, as long as such Set Top Box is used in accordance with the terms and conditions of the subscription agreement between the IPTV Operator MSO and the subscriber. The IPTV Operator MSO shall comply with the specifications for Set Top Box, Conditional Access System and Subscriber Management System as set out in ANNEXURE X XI attached herewith. If so instructed by Information (as defined below) by ZEEL, the IPTV Operator MSO shall shut off or de-de- authorize the transmission to any unauthorized subscriber/ subscriber indulging in piracy, within ten minutes from the time it receives such instruction from ZEEL. Anti-Piracy. Anti-Piracy. (b) To ensure the Operator’s ongoing compliance with the Anti-Piracy Requirements security requirements set out in Clause VI the Agreement, the Broadcaster may require technical audits (“Technical Audits”) conducted by an independent security technology auditor (“Technical Auditor”), approved by the Broadcaster, in writing no more than twice during the Term, at the Broadcaster’s cost and VII expense. If the results of any Technical Audits are not found to be satisfactory by either the Operator or the Broadcaster, then the Broadcaster, shall work with the Operator in ANNEXURE XII resolving the issues in the next fourteen (14) business days. If a solution is not reached at by then, the Broadcaster, may, in its sole discretion, suspend the Operator’s right to distribute the Subscribed Channels or take other actions as provided under the Agreement, until such systems, procedures and also provide full security measures have been corrected to the Broadcaster’s satisfaction on behalf of the Broadcaster. The Operator shall bear the cost and complete information for conducting expense of any subsequent Technical Audit to verify that the systems, procedures and security measures have been corrected by the auditors, empaneled by Operator to the Authority for conducting such audit, by furnishing details outlined in Clause I, II, III, IV and V of ANNEXURE XII attached herewith. (d) The IPTV Operator shall not authorize, cause or suffer any portion of any of the Zee Group Subscribed Channels to be recorded, duplicated, cablecast, exhibited or otherwise used for any purpose other than for distribution by the IPTV Operator at the time these the Subscribed Channels are made available. If the IPTV Operator becomes aware that any unauthorized third party is recording, duplicating, cablecasting, exhibiting or otherwise using any or all of the Zee Group Subscribed Channels for any other purpose, the IPTV Operator shall within ten 10 minutes of so becoming aware of such recording, duplicating, cablecasting, exhibiting or otherwise using any or all of the Zee Group Subscribed Channels for any other purpose, notify ZEEL the Broadcaster, and the IPTV Operator shall also switch off the concerned Set Top Box STB to prevent such unauthorized use. However, use of a Set Top Box STB with Personal Video Recorder/ Digital Video Recorder personal video recorder/digital video recorder facility which has been supplied by the IPTV Operator shall not be treated as unauthorized use, as long as such Set Top Box STB is used in accordance with the terms and conditions of the subscription agreement between the IPTV Operator and the subscriber. (c) The IPTV Operator Affiliate shall not authorize, cause or suffer any portion of any of the Zee Group Channels Subscribed Channel(s) to be recorded, duplicated, cablecast, exhibited or otherwise used for any purpose other than for distribution by the IPTV Operator Affiliate in the manner set forth in this Agreement at the time these Channels the Subscribed Channel(s) are made available. If the IPTV Operator Affiliate becomes aware that any unauthorized third party is recording, duplicating, cablecasting, exhibiting or otherwise using any or all of the Zee Group Subscribed Channels for any other purpose, the IPTV Operator Affiliate shall within ten (10) minutes of so becoming aware of such recordingnotify the Broadcaster, duplicating, cablecasting, exhibiting or otherwise using any or all of the Zee Group Channels for any other purpose, notify ZEEL and the IPTV Operator Affiliate shall also switch off forthwith deactivate the concerned Set Top Box STB to prevent such unauthorized use. However, use of a Set Top Box STB with Personal Video Recorder/ Digital Video Recorder personal video recorder/digital video recorder facility which has been supplied by the IPTV Operator Affiliate shall not be treated as unauthorized use, as long as such Set Top Box STB is used in accordance with the terms and conditions of the subscription agreement between the IPTV Operator and the subscriberthis Agreement. The IPTV Operator Affiliate undertakes to ensure that content stored in personal video recorder/digital video recorder/external storage device should always be encrypted as a ‘Copy Protect’ feature and shall comply with be encrypted and not play on any other device(s). For the specifications for Set Top Boxpurpose herein, Conditional Access System the term ‘Copy Protect’ means such features which prevent reproduction of content/media and/or unauthorized copying and Subscriber Management System as set out in ANNEXURE X attached herewithdistribution of content/media. (d) If so instructed by Information (as defined below) by ZEELthe Broadcaster, the IPTV Operator Affiliate shall shut off deactivate or de-authorize de‐authorize the transmission to any unauthorized subscriber/ subscriber/subscriber indulging in piracy, within ten 10 minutes from the time it receives such Information instruction from ZEELthe Broadcaster,. Any communication under this Clause shall be considered as valid Information only if (i) the information is sent through e-mail in a format as mutually agreed by the parties e‐mail and (ii) the information is sent by a person(s) who is designated to send such information. However, However the “informationInformation” may even be provided by ZEEL representatives the Broadcaster through other means of communications such as telephonic message, fax etc. and the said “informationInformation” shall later be confirmed by ZEEL the Broadcaster, , through e-mail e‐mail and the IPTV Operator Affiliate shall be under obligation to act upon such information.
(e) The Affiliate shall, at its own expense, take all necessary steps to comply with obligations set forth in Annexure G. Affiliate undertakes to provide all such assistance to the Broadcaster, with respect to the Subscribed Channels, as may be reasonably required by the Broadcaster with respect to prevention of Piracy of the Subscribed Channels in the Authorized Area of Transmission.

Anti-Piracy. The IPTV Operator Affiliate granting access to the Subscribed Channels to its subscribers outside/beyond the Authorized Territory through the Affiliate’s Permitted Digital Distribution Platform shall comply tantamount to the Affiliate allowing unauthorized access to the Subscribed Channels. With an aim to ensure that Subscribed Channel(s) are not distributed in an unauthorized manner, Affiliate shall ensure all LCN(s) are integrated with CAS and SMS and that no LCN(s) are kept free / left for any other use. Additionally, if it comes to the Broadcaster’s knowledge (directly or through the Authorized Agent) that any Subscribed Channel(s) is being retransmitted through Affiliate’s Permitted Digital Distribution Platform in the Authorized Territory on more than one (1) LCN, then the same shall be deemed to be a material breach of this Agreement and Piracy.
(b) Affiliate shall provide on a month-on-month basis comprehensive details of all incidents of piracy and signal theft involving its network, the names of perpetrators involved in such incidents, and any actions, including but not limited to the filing of police reports and lawsuits, taken against such perpetrators since the prior Subscriber Report.
(c) To ensure the Affiliate’s ongoing compliance with the Anti-Piracy Requirements security requirements set out in Clause VI the Agreement, the Broadcaster through the Authorized Representative may require technical audits (“Technical Audits”) conducted by an independent security technology auditor (“Technical Auditor”), approved by the Broadcaster, through the Authorized Representative, in writing no more than twice during each 12 (twelve) months’ period of the Term, at the Broadcaster’s cost and VII expense. If the results of any Technical Audits are not found to be satisfactory by either the Affiliate or the Broadcaster, through the Authorized Representative, then the Authorized Representative, on behalf of the Broadcaster, shall work with the Affiliate in ANNEXURE XII resolving the issues in the next fourteen (14) business days. If a solution is not reached at by then, the Broadcaster, through the Authorized Representative, may, in its sole discretion, suspend the Affiliate’s right to distribute the Subscribed Channels or take other actions as provided under the Agreement, until such systems, procedures and also provide full security measures have been corrected to the satisfaction of the Broadcaster. The Affiliate shall bear the cost and complete information for conducting expense of any subsequent Technical Audit to verify that the systems, procedures and security measures have been corrected by the auditors, empaneled by Affiliate to the Authority for conducting such audit, by furnishing details outlined in Clause I, II, III, IV and V Authorized Representative’s satisfaction on behalf of ANNEXURE XII attached herewith. If the IPTV Operator Affiliate becomes aware that any unauthorized third party is recording, duplicating, cablecasting, exhibiting or otherwise using any or all of the Zee Group Subscribed Channels for any other purpose, the IPTV Operator Affiliate shall within ten 10 minutes of so becoming aware of such recording, duplicating, cablecasting, exhibiting or otherwise using any or all of the Zee Group Subscribed Channels for any other purpose, notify ZEEL the Broadcaster, through the Authorized Representative, and the IPTV Operator Affiliate shall also switch off deactivate the concerned Set Top Box STB to prevent such unauthorized use. However, use of a Set Top Box STB with Personal Video Recorder/ Digital Video Recorder personal video recorder/digital video recorder facility which has been supplied by the IPTV Operator Affiliate shall not be treated as unauthorized use, as long as such Set Top Box STB is used in accordance with the terms and conditions of the subscription agreement between the IPTV Operator and the subscriber. The IPTV Operator shall comply with the specifications for Set Top Box, Conditional Access System and Subscriber Management System as set out in ANNEXURE X attached herewith. this Agreement.
(f) If so instructed by Information (as defined below) by ZEELthe Broadcaster, through the Authorized Representative, the IPTV Operator Affiliate shall shut off deactivate or de-authorize the transmission to any unauthorized subscriber/ subscriber/subscriber indulging in piracy, within ten 10 minutes from the time it receives such Information instruction from ZEELthe Broadcaster, through the Authorized Representative. Any communication under this Clause shall be considered as valid Information only if (i) the information is sent through e-mail in a format as mutually agreed by the parties and (ii) the information is sent by a person(s) who is designated to send such information. However, However the “informationInformation” may even be provided by ZEEL representatives the Broadcaster’s Authorized Representative through other means of communications such as telephonic message, fax etc. and the said “informationInformation” shall later be confirmed by ZEEL the Broadcaster, through the Authorized Representative, through e-mail and the IPTV Operator Affiliate shall be under obligation to act upon such information.
(g) Broadcaster through the Authorized Representative plans to actively combat piracy of the Channels in the Territory and the Affiliate undertakes to provide all such assistance to the Authorized Representative, with respect to the Subscribed Channels, as may be reasonably required by the Authorized Representative in that regard. Anti-Piracy. 11.1. The IPTV Operator shall comply To ensure the Operator’s ongoing compliance with the Anti-Piracy Requirements security requirements set out in Clause VI the Agreement, the Broadcaster may require Technical Audits conducted by Technical Auditor, approved by the Broadcaster in writing no more than twice during the Term, at the Broadcaster’s cost and VII in ANNEXURE XII and also provide full and complete information for conducting expense. If the results of any Technical Audit are not found to be satisfactory by either the Operator or the Broadcaster, then the Broadcaster shall work with the Operator in resolving this issue in the next fourteen (14) working days. If a solution is not reached at during the said period, the Broadcaster may, at its sole discretion, suspend the Operator’s right to distribute the Subscribed Channel(s) or take other actions as provided under the Agreement, until such systems, procedures and security measures have been corrected to the Broadcaster’s satisfaction. The Operator shall bear the cost and expense of any subsequent Technical Audit to verify that the systems, procedures and security measures have been corrected by the auditors, empaneled by Operator to the Authority for conducting such audit, by furnishing details outlined in Clause I, II, III, IV and V of ANNEXURE XII attached herewith. The IPTV Operator shall not authorize, cause or suffer any portion of any of the Zee Group Channels Channel(s) to be recorded, duplicated, cablecast, exhibited or otherwise used for any purpose other than for distribution by the IPTV Operator at the time these Channels the Channel(s) are made available. With an aim to ensure that Subscribed Channel(s) are not distributed in an unauthorized manner, Affiliate shall ensure all LCN(s) are integrated with CAS and SMS and that no LCN(s) are kept free / left for any other use (including by LCOs). Additionally, if it comes to the Broadcaster’s knowledge (directly or through the Authorized Agent) that any Subscribed Channel(s) is being retransmitted through Affiliate’s Permitted Digital Distribution Platform (directly or through an affiliated local cable operator of the Affiliate) in the Territory on more than one (1) LCN, then the same shall be deemed to be a material breach of this Agreement and Piracy.
(b) Affiliate shall provide on a month-on-month basis comprehensive details of all incidents of piracy and signal theft involving its network, the names of perpetrators involved in such incidents, and any actions, including but not limited to the filing of police reports and lawsuits, taken against such perpetrators since the prior Subscriber Report.
(c) To ensure the Affiliate’s ongoing compliance with the Anti-Piracy Requirements security requirements set out in Clause VI the Agreement, the Broadcaster through the Authorized Representative may require technical audits (“Technical Audits”) conducted by an independent security technology auditor (“Technical Auditor”), approved by the Broadcaster, through the Authorized Representative, in writing no more than twice during each 12 (twelve) months’ period of the Term, at the Broadcaster’s cost and VII expense. If the results of any Technical Audits are not found to be satisfactory by either the Affiliate or the Broadcaster, through the Authorized Representative, then the Authorized Representative, on behalf of the Broadcaster, shall work with the Affiliate in ANNEXURE XII resolving the issues in the next fourteen (14) business days. If a solution is not reached at by then, the Broadcaster, through the Authorized Representative, may, in its sole discretion, suspend the Affiliate’s right to distribute the Subscribed Channels or take other actions as provided under the Agreement, until such systems, procedures and also provide full security measures have been corrected to the satisfaction of the Broadcaster. The Affiliate shall bear the cost and complete information for conducting expense of any subsequent Technical Audit to verify that the systems, procedures and security measures have been corrected by the auditors, empaneled by Affiliate to the Authority for conducting such audit, by furnishing details outlined in Clause I, II, III, IV and V Authorized Representative’s satisfaction on behalf of ANNEXURE XII attached herewith. (f) If so instructed by Information (as defined below) by ZEELthe Broadcaster, the IPTV Operator Affiliate shall shut off deactivate or de-authorize the transmission to any unauthorized subscriber/ subscriber/subscriber indulging in piracy, within ten 10 minutes from the time it receives such Information instruction from ZEELthe Broadcaster. Any communication under this Clause shall be considered as valid Information only if (i) the information is sent through e-mail in a format as mutually agreed by the parties and (ii) the information is sent by a person(s) who is designated to send such information. However, However the “informationInformation” may even be provided by ZEEL representatives through the Broadcaster other means of communications such as telephonic message, fax etc. and the said “informationInformation” shall later be confirmed by ZEEL the Broadcaster, through e-mail and the IPTV Operator Affiliate shall be under obligation to act upon such information.
(g) Broadcaster plans to actively combat piracy of the Channel in the Territory and the Affiliate undertakes to provide all such assistance to the Broadcaster, with respect to the Channel, as may be reasonably required by the Broadcaster in that regard. Anti-Piracy. The IPTV Operator shall deploy finger printing mechanisms to detect any piracy, violation of copyright and unauthorized viewing of the Channels, distributed / transmitted through its Platform at least every 10 minutes on 24 x 7 x 365(6) basis. The IPTV Operator shall not authorize, cause or suffer any portion of any of the Zee Group Channels to be recorded, duplicated, cablecast, exhibited or otherwise used for any purpose other than for distribution by the IPTV Operator at the time these Channels are made available. If the IPTV Operator becomes aware that any unauthorized third party is recording, duplicating, cablecasting, exhibiting or otherwise using any or all of the Zee Group Channels for any other purpose, the IPTV Operator shall within ten minutes of so becoming aware of such recording, duplicating, cablecasting, exhibiting or otherwise using any or all of the Zee Group Channels for any other purpose, notify ZEEL and the IPTV Operator shall also switch off the concerned Set Top Box to prevent such unauthorized use. However, use of a Set Top Box with Personal Video Recorder/ Digital Video Recorder facility which has been supplied by the IPTV Operator shall not be treated as unauthorized use, as long as such Set Top Box is used in accordance with the terms and conditions of the subscription agreement between the IPTV Operator and the subscriber. The IPTV Operator shall comply with the specifications for Set Top Box, Conditional Access System and Subscriber Management System as set out in ANNEXURE X XI attached herewith. 11.2 To ensure the Operator’s ongoing compliance with the Anti-Piracy Requirements security requirements set out in Clause VI the Agreement, the Broadcaster may require Technical Audits conducted by Technical Auditor, approved by the Broadcaster in writing no more than twice during each calendar year during the Term, at the Broadcaster’s cost and VII in ANNEXURE XII and also provide full and complete information for conducting expense. If the results of any Technical Audit are not found to be satisfactory by either the Operator or the Broadcaster, then the Broadcaster shall work with the Operator in resolving this issue in the next fourteen (14) working days. If a solution is not reached at during the said period, the Broadcaster may, at its sole discretion, suspend the Operator’s right to distribute the Subscribed Channel(s) or take other actions as provided under the Agreement, until such systems, procedures and security measures have been corrected to the Broadcaster’s satisfaction. The Operator shall bear the cost and expense of any subsequent Technical Audit to verify that the systems, procedures and security measures have been corrected by the auditors, empaneled by Operator to the Authority for conducting such audit, by furnishing details outlined in Clause I, II, III, IV and V of ANNEXURE XII attached herewith. Anti-Piracy. The IPTV Operator Affiliate granting access to the Subscribed Channels to its subscribers outside/beyond the Authorized Area of Transmission through the Affiliate’s Permitted Digital Distribution Platform shall comply tantamount to the Affiliate allowing unauthorized access to the Subscribed Channels.
(b) Affiliate shall provide on a month-on-month basis comprehensive details of all incidents of piracy and signal theft involving its network, the names of perpetrators involved in such incidents, and any actions, including but not limited to the filing of police reports and lawsuits, taken against such perpetrators since the prior Subscriber Report.
(c) To ensure the Affiliate’s ongoing compliance with the Anti-Piracy Requirements security requirements set out in Clause VI the Agreement, the Broadcaster through the Authorized Agent may require technical audits (“Technical Audits”) conducted by an independent security technology auditor (“Technical Auditor”), approved by the Broadcaster, through the Authorized Agent, in writing no more than twice during each 12 (twelve) months’ period of the Term, at the Broadcaster’s cost and VII expense. If the results of any Technical Audits are not found to be satisfactory by either the Affiliate or the Broadcaster, through the Authorized Agent, then the Authorized Agent, on behalf of the Broadcaster, shall work with the Affiliate in ANNEXURE XII resolving the issues in the next fourteen (14) business days. If a solution is not reached at by then, the Broadcaster, through the Authorized Agent, may, in its sole discretion, suspend the Affiliate’s right to distribute the Subscribed Channels or take other actions as provided under the Agreement, until such systems, procedures and also provide full security measures have been corrected to the satisfaction of the Broadcaster. The Affiliate shall bear the cost and complete information for conducting expense of any subsequent Technical Audit to verify that the systems, procedures and security measures have been corrected by the auditors, empaneled by Affiliate to the Authority for conducting such audit, by furnishing details outlined in Clause I, II, III, IV and V Authorized Agent’s satisfaction on behalf of ANNEXURE XII attached herewith. (e) The IPTV Operator Affiliate shall not authorize, cause or suffer any portion of any of the Zee Group Subscribed Channels to be recorded, duplicated, cablecast, exhibited or otherwise used for any purpose other than for distribution by the IPTV Operator Affiliate at the time these the Subscribed Channels are made available. If the IPTV Operator Affiliate becomes aware that any unauthorized third party is recording, duplicating, cablecasting, exhibiting or otherwise using any or all of the Zee Group Subscribed Channels for any other purpose, the IPTV Operator Affiliate shall within ten 10 minutes of so becoming aware of such recording, duplicating, cablecasting, exhibiting or otherwise using any or all of the Zee Group Subscribed Channels for any other purpose, notify ZEEL the Broadcaster, through the Authorized Agent, and the IPTV Operator Affiliate shall also switch off deactivate the concerned Set Top Box STB to prevent such unauthorized use. However, use of a Set Top Box STB with Personal Video Recorder/ Digital Video Recorder personal video recorder/digital video recorder facility which has been supplied by the IPTV Operator Affiliate shall not be treated as unauthorized use, as long as such Set Top Box STB is used in accordance with the terms and conditions of the subscription agreement between the IPTV Operator and the subscriber. If the IPTV Operator becomes aware that any unauthorized third party is recording, duplicating, cablecasting, exhibiting or otherwise using any or all of the Zee Group ZMCL Channels for any other purpose, the IPTV Operator shall within ten minutes of so becoming aware of such recording, duplicating, cablecasting, exhibiting or otherwise using any or all of the Zee Group ZMCL Channels for any other purpose, notify ZEEL ZMCL and the IPTV Operator shall also switch off the concerned Set Top Box to prevent such unauthorized use. However, use of a Set Top Box with Personal Video Recorder/ Digital Video Recorder facility which has been supplied by the IPTV Operator shall not be treated as unauthorized use, as long as such Set Top Box is used in accordance with the terms and conditions of the subscription agreement between the IPTV Operator and the subscriber. The IPTV Operator shall comply with the specifications for Set Top Box, Conditional Access System and Subscriber Management System as set out in ANNEXURE X attached herewith. If so instructed by Information (as defined below) by ZEELZMCL, the IPTV Operator shall shut off or de-authorize the transmission to any unauthorized subscriber/ subscriber indulging in piracy, within ten minutes from the time it receives such instruction from ZEELZMCL. Anti-Piracy. (a) In order to prevent theft, piracy, unauthorized retransmissions, redistribution or exhibition, copying or duplication of any Channelof the Subscribed Channels, in whole or in part, part (hereinafter collectively referred to as “Piracy”), the IPTV Operator Affiliate shall, prior to the commencement of the Term of the agreement Agreement and at all times during such the Term, employ, maintain, and enforce fully effective conditional access system delivery and content protection and security systems, and related physical security and operational procedures (hereinafter collectively referred to as the “Security Systems”) & security specifications as are set forth in Annexure G and/or may be specified (security specifications)specified, in a non-discriminatory non‐discriminatory manner in writing, from time to time, by ZEELthe Broadcaster. The IPTV Operator Affiliate granting access to the Subscribed Channels to its subscribers outside/beyond the DAS Area of Transmission through the Affiliate’s Permitted Digital Distribution Platform shall comply tantamount to the Affiliate allowing unauthorized access to the Subscribed Channels.
(b) Affiliate shall provide on a month‐on‐month basis comprehensive details of all incidents of piracy and signal theft involving its network, the names of perpetrators involved in such incidents, and any actions, including but not limited to the filing of police reports and lawsuits, taken against such perpetrators since the prior Subscriber Report.
(c) To ensure the Affiliate’s ongoing compliance with the Anti-Piracy Requirements security requirements set out in Clause VI the Agreement, the Broadcaster may require technical audits (“Technical Audits”) conducted by an independent security technology auditor (“Technical Auditor”), approved by the Broadcaster, , in writing no more than twice during each 12 (twelve) months’ period of the Term, at the Broadcaster’s cost and VII expense. If the results of any Technical Audits are not found to be satisfactory by either the Affiliate or the Broadcaster, , then the Broadcaster, shall work with the Affiliate in ANNEXURE XII resolving the issues in the next fourteen (14) business days. If a solution is not reached at by then, the Broadcaster, may, in its sole discretion, suspend the Affiliate’s right to distribute the Subscribed Channels or take other actions as provided under the Agreement, until such systems, procedures and also provide full security measures have been corrected to the satisfaction of the Broadcaster. The Affiliate shall bear the cost and complete information for conducting expense of any subsequent Technical Audit to verify that the systems, procedures and security measures have been corrected by the auditors, empaneled by Affiliate to the Authority for conducting such audit, by furnishing details outlined in Clause I, II, III, IV and V satisfaction of ANNEXURE XII attached herewith. (e) The IPTV Operator Affiliate shall not authorize, cause or suffer any portion of any of the Zee Group Subscribed Channels to be recorded, duplicated, cablecast, exhibited or otherwise used for any purpose other than for distribution by the IPTV Operator Affiliate at the time these the Subscribed Channels are made available. If the IPTV Operator Affiliate becomes aware that any unauthorized third party is recording, duplicating, cablecastingcable casting, exhibiting or otherwise using any or all of the Zee Group Subscribed Channels for any other purpose, the IPTV Operator Affiliate shall within ten 10 minutes of so becoming aware of such recording, duplicating, cablecastingcable casting, exhibiting or otherwise using any or all of the Zee Group Subscribed Channels for any other purpose, notify ZEEL the Broadcaster, , and the IPTV Operator Affiliate shall also switch off deactivate the concerned Set Top Box STB to prevent such unauthorized use. Additionally, if it comes to the Broadcaster’s knowledge (directly or through the Authorized Agent) that any Subscribed Channel(s) is being retransmitted through Affiliate’s Permitted Digital Distribution Platform (directly or through an affiliated local cable operator of the Affiliate) in the Authorized Territory on more than one (1) LCN, then the same shall be deemed to be a material breach of this Agreement and Piracy.

(a) In order to prevent theft, piracy, unauthorized retransmissions, redistribution or exhibition, copying or duplication of any Channelof the Subscribed Channels, in whole or in part, part (hereinafter collectively referred to as “Piracy”), the IPTV Operator Affiliate shall, prior to the commencement of the Term of the agreement Agreement and at all times during such the Term, employ, maintain, and enforce fully effective conditional access system delivery and content protection and security systems, and related physical security and operational procedures (hereinafter collectively referred to as the “Security Systems”) & security specifications as are set forth in Annexure G and/or may be specified (security specifications)specified, in a non-discriminatory non‐discriminatory manner in writing, from time to time, by ZEELthe Broadcaster. The IPTV Operator Affiliate granting access to the Subscribed Channels to its subscribers outside/beyond the DAS Area of Transmission through the Affiliate’s Permitted Digital Distribution Platform shall comply tantamount to the Affiliate allowing unauthorized access to the Subscribed Channels.
(b) Affiliate shall provide on a month‐on‐month basis comprehensive details of all incidents of piracy and signal theft involving its network, the names of perpetrators involved in such incidents, and any actions, including but not limited to the filing of police reports and lawsuits, taken against such perpetrators since the prior Subscriber Report.
(c) To ensure the Affiliate’s ongoing compliance with the Anti-Piracy Requirements security requirements set out in Clause VI the Agreement, the Broadcaster may require technical audits (“Technical Audits”) conducted by an independent security technology auditor (“Technical Auditor”), approved by the Broadcaster, , in writing no more than twice during each 12 (twelve) months’ period of the Term, at the Broadcaster’s cost and VII expense. If the results of any Technical Audits are not found to be satisfactory by either the Affiliate or the Broadcaster, , then the Broadcaster, shall work with the Affiliate in ANNEXURE XII resolving the issues in the next fourteen (14) business days. If a solution is not reached at by then, the Broadcaster, may, in its sole discretion, suspend the Affiliate’s right to distribute the Subscribed Channels or take other actions as provided under the Agreement, until such systems, procedures and also provide full security measures have been corrected to the satisfaction of the Broadcaster. The Affiliate shall bear the cost and complete information for conducting expense of any subsequent Technical Audit to verify that the systems, procedures and security measures have been corrected by the auditors, empaneled by Affiliate to the Authority for conducting such audit, by furnishing details outlined in Clause I, II, III, IV and V satisfaction of ANNEXURE XII attached herewith. (d) Affiliate shall deploy finger printing mechanisms to detect any piracyPiracy, violation of copyright and unauthorized viewing of the Channels, Subscribed Channels distributed / transmitted through its Permitted Digital Distribution Platform at least every 10 minutes on 24 x 7 x 365(6) basis. .
(e) The IPTV Operator Affiliate shall not authorize, cause or suffer any portion of any of the Zee Group Subscribed Channels to be recorded, duplicated, cablecast, exhibited or otherwise used for any purpose other than for distribution by the IPTV Operator Affiliate at the time these the Subscribed Channels are made available. If the IPTV Operator Affiliate becomes aware that any unauthorized third party is recording, duplicating, cablecasting, exhibiting or otherwise using any or all of the Zee Group Subscribed Channels for any other purpose, the IPTV Operator Affiliate shall within ten 10 minutes of so becoming aware of such recording, duplicating, cablecasting, exhibiting or otherwise using any or all of the Zee Group Subscribed Channels for any other purpose, notify ZEEL the Broadcaster, , and the IPTV Operator Affiliate shall also switch off deactivate the concerned Set Top Box STB to prevent such unauthorized use. However, use of a Set Top Box STB with Personal Video Recorder/ Digital Video Recorder personal video recorder/digital video recorder facility which has been supplied by the IPTV Operator Affiliate shall not be treated as unauthorized use, as long as such Set Top Box STB is used in accordance with the terms and conditions of the subscription agreement between the IPTV Operator and the subscriber. The IPTV Operator shall comply with the specifications for Set Top Box, Conditional Access System and Subscriber Management System as set out in ANNEXURE X attached herewith. this Agreement.
(f) If so instructed by Information (as defined below) by ZEELthe Broadcaster, , the IPTV Operator Affiliate shall shut off deactivate or de-authorize de‐authorize the transmission to any unauthorized subscriber/ subscriber/subscriber indulging in piracy, within ten 10 minutes from the time it receives such Information instruction from ZEELthe Broadcaster,. Any communication under this Clause shall be considered as valid Information only if (i) the information is sent through e-mail in a format as mutually agreed by the parties e‐mail and (ii) the information is sent by a person(s) who is designated to send such information. However, However the “informationInformation” may even be provided by ZEEL representatives the Broadcaster through other means of communications such as telephonic message, fax etc. and the said “informationInformation” shall later be confirmed by ZEEL the Broadcaster, through e-mail e‐mail and the IPTV Operator Affiliate shall be under obligation to act upon such information.
(g) Broadcaster plans to actively combat piracy of the Channels in the Territory and the Affiliate undertakes to provide all such assistance to the Broadcaster, with respect to the Subscribed Channels, as may be reasonably required by the Broadcaster in that regard. Additionally, if it comes to the Broadcaster’s knowledge (directly or through the Authorized Agent) that any Subscribed Channel(s) is being retransmitted through Affiliate’s Permitted Digital Distribution Platform (directly or through an affiliated local cable operator of the Affiliate) in the Territory on more than one (1) LCN, then the same shall be deemed to be a material breach of this Agreement and Piracy.

(e) The IPTV Operator Affiliate shall not authorize, cause or suffer any portion of any of the Zee Group Channels Channel to be recorded, duplicated, cablecast, exhibited or otherwise used for any purpose other than for distribution by the IPTV Operator Affiliate at the time these Channels the Channel are made available. If the IPTV Operator Affiliate becomes aware that any unauthorized third party is recording, duplicating, cablecasting, exhibiting or otherwise using any or all of the Zee Group Channels Channel for any other purpose, the IPTV Operator Affiliate shall within ten 10 minutes of so becoming aware of such recording, duplicating, cablecasting, exhibiting or otherwise using any or all of the Zee Group Channels Channel for any other purpose, notify ZEEL the Broadcaster, and the IPTV Operator Affiliate shall also switch off deactivate the concerned Set Top Box STB to prevent such unauthorized use. However, use of a Set Top Box STB with Personal Video Recorder/ Digital Video Recorder personal video recorder/digital video recorder facility which has been supplied by the IPTV Operator Affiliate shall not be treated as unauthorized use, as long as such Set Top Box STB is used in accordance with the terms and conditions of the subscription agreement between the IPTV Operator and the subscriber. The IPTV Operator shall comply with the specifications for Set Top Box, Conditional Access System and Subscriber Management System as set out in ANNEXURE X attached herewith. this Agreement.
(f) If so instructed by Information (as defined below) by ZEELthe Broadcaster, the IPTV Operator Affiliate shall shut off deactivate or de-authorize the transmission to any unauthorized subscriber/ subscriber/subscriber indulging in piracy, within ten 10 minutes from the time it receives such Information instruction from ZEELthe Broadcaster. Any communication under this Clause shall be considered as valid Information only if (i) the information is sent through e-mail in a format as mutually agreed by the parties and (ii) the information is sent by a person(s) who is designated to send such information. However, However the “informationInformation” may even be provided by ZEEL representatives through the Broadcaster other means of communications such as telephonic message, fax etc. and the said “informationInformation” shall later be confirmed by ZEEL the Broadcaster, through e-mail and the IPTV Operator Affiliate shall be under obligation to act upon such information.
(g) Broadcaster plans to actively combat piracy of the Channel in the Territory and the Affiliate undertakes to provide all such assistance to the Broadcaster, with respect to the Channel, as may be reasonably required by the Broadcaster in that regard. The IPTV Operator Affiliate granting access to the Subscribed Channels to its subscribers outside/beyond the Territory through the Affiliate’s Permitted Digital Distribution Platform shall comply tantamount to the Affiliate allowing unauthorized access to the Subscribed Channels. With an aim to ensure that Subscribed Channel(s) are not distributed in an unauthorized manner, Affiliate shall ensure all LCN(s) are integrated with CAS and SMS and that no LCN(s) are kept free / left for any other use (including by LCOs). Additionally, if it comes to the Broadcaster’s knowledge (directly or through the Authorized Agent) that any Subscribed Channel(s) is being retransmitted through Affiliate’s Permitted Digital Distribution Platform in the Territory on more than one (1) LCN, then the same shall be deemed to be a material breach of this Agreement and Piracy.
(b) Affiliate shall provide on a month-on-month basis comprehensive details of all incidents of piracy and signal theft involving its network, the names of perpetrators involved in such incidents, and any actions, including but not limited to the filing of police reports and lawsuits, taken against such perpetrators since the prior Subscriber Report.
(c) To ensure the Affiliate’s ongoing compliance with the Anti-Piracy Requirements security requirements set out in Clause VI the Agreement, the Broadcaster through the Authorized Representative may require technical audits (“Technical Audits”) conducted by an independent security technology auditor (“Technical Auditor”), approved by the Broadcaster, through the Authorized Representative, in writing no more than twice during each 12 (twelve) months’ period of the Term, at the Broadcaster’s cost and VII expense. If the results of any Technical Audits are not found to be satisfactory by either the Affiliate or the Broadcaster, through the Authorized Representative, then the Authorized Representative, on behalf of the Broadcaster, shall work with the Affiliate in ANNEXURE XII resolving the issues in the next fourteen (14) business days. If a solution is not reached at by then, the Broadcaster, through the Authorized Representative, may, in its sole discretion, suspend the Affiliate’s right to distribute the Subscribed Channels or take other actions as provided under the Agreement, until such systems, procedures and also provide full security measures have been corrected to the satisfaction of the Broadcaster. The Affiliate shall bear the cost and complete information for conducting expense of any subsequent Technical Audit to verify that the systems, procedures and security measures have been corrected by the auditors, empaneled by Affiliate to the Authority for conducting such audit, by furnishing details outlined in Clause I, II, III, IV and V Authorized Representative’s satisfaction on behalf of ANNEXURE XII attached herewith. (d) Affiliate shall deploy finger printing mechanisms to detect any piracyPiracy, violation of copyright and unauthorized viewing of the Channels, Subscribed Channels distributed / transmitted through its Permitted Digital Distribution Platform at least every 10 minutes on 24 x 7 x 365(6) basis. .
(e) The IPTV Operator Affiliate shall not authorize, cause or suffer any portion of any of the Zee Group Subscribed Channels to be recorded, duplicated, cablecast, exhibited or otherwise used for any purpose other than for distribution by the IPTV Operator Affiliate at the time these the Subscribed Channels are made available. If a solution is not reached at by then, the Broadcaster, through the Authorized Representative, may, in its sole discretion, suspend the Affiliate’s right to distribute the Subscribed Channels or take other actions as provided under the Agreement, until such systems, procedures and also provide full security measures have been corrected to the satisfaction of the Broadcaster. The Affiliate shall bear the cost and complete information for conducting expense of any subsequent Technical Audit to verify that the systems, procedures and security measures have been corrected by the auditors, empaneled by Affiliate to the Authority for conducting such audit, by furnishing details outlined in Clause I, II, III, IV and V Authorized Representative’s satisfaction on behalf of ANNEXURE XII attached herewith. The IPTV Operator the Broadcaster.
(d) Affiliate shall deploy finger printing mechanisms to detect any piracyPiracy, violation of copyright and unauthorized viewing of the Channels, Subscribed Channels distributed / transmitted through its Permitted Digital Distribution Platform at least every 10 minutes on 24 x 7 x 365(6) basis. .
(e) The IPTV Operator Affiliate shall not authorize, cause or suffer any portion of any of the Zee Group Subscribed Channels to be recorded, duplicated, cablecast, exhibited or otherwise used for any purpose other than for distribution by the IPTV Operator Affiliate at the time these the Subscribed Channels are made available. If the IPTV Operator Affiliate becomes aware that any unauthorized third party is recording, duplicating, cablecasting, exhibiting or otherwise using any or all of the Zee Group Subscribed Channels for any other purpose, the IPTV Operator Affiliate shall within ten 10 minutes of so becoming aware of such recording, duplicating, cablecasting, exhibiting or otherwise using any or all of the Zee Group Subscribed Channels for any other purpose, notify ZEEL the Broadcaster, through the Authorized Representative, and the IPTV Operator Affiliate shall also switch off deactivate the concerned Set Top Box STB to prevent such unauthorized use. However, use of a Set Top Box STB with Personal Video Recorder/ Digital Video Recorder personal video recorder/digital video recorder facility which has been supplied by the IPTV Operator Affiliate shall not be treated as unauthorized use, as long as such Set Top Box STB is used in accordance with the terms and conditions of the subscription agreement between the IPTV Operator and the subscriber. The IPTV Operator shall comply with the specifications for Set Top Box, Conditional Access System and Subscriber Management System as set out in ANNEXURE X attached herewith. this Agreement.
(f) If so instructed by Information (as defined below) by ZEELthe Broadcaster, through the Authorized Representative, the IPTV Operator Affiliate shall shut off deactivate or de-authorize the transmission to any unauthorized subscriber/ subscriber/subscriber indulging in piracy, within ten 10 minutes from the time it receives such Information instruction from ZEELthe Broadcaster, through the Authorized Representative. Any communication under this Clause shall be considered as valid Information only if (i) the information is sent through e-mail in a format as mutually agreed by the parties and (ii) the information is sent by a person(s) who is designated to send such information. However, However the “informationInformation” may even be provided by ZEEL representatives the Broadcaster’s Authorized Representative through other means of communications such as telephonic message, fax etc. and the said “informationInformation” shall later be confirmed by ZEEL the Broadcaster, through the Authorized Representative, through e-mail and the IPTV Operator Affiliate shall be under obligation to act upon such information.
(g) Broadcaster through the Authorized Representative plans to actively combat piracy of the Channels and the Affiliate undertakes to provide all such assistance to the Authorized Representative, with respect to the Subscribed Channels, as may be reasonably required by the Authorized Representative in that regard. The Affiliate shall, at its own expense, take all necessary steps to comply with obligations set forth in Annexure G.

Anti-Piracy. In 00.0. Xx order to prevent theft, piracy, unauthorized retransmissions, redistribution or exhibition, copying or duplication of any Channel, in whole or in part, (hereinafter collectively referred to as “Piracy”), the IPTV Operator shall, prior to the commencement of the Term of the agreement this Agreement and at all times during such Term, employ, maintain, and enforce fully effective conditional access system delivery and content protection and Security Systems as per the security systems, and related physical security and operational procedures (hereinafter collectively referred to as the “Security Systems”) specifications set forth in Schedule 2 of this Agreement and/or as may be specified (security specifications), in a non-discriminatory manner in writing, from time to time, by ZEELthe Broadcaster. The IPTV Operator shall comply To ensure the Operator’s ongoing compliance with the Anti-Piracy Requirements security requirements set out in Clause VI this Agreement, the Broadcaster may require Technical Audits conducted by Technical Auditor, approved by the Broadcaster in writing no more than twice during the Term, at the Broadcaster’s cost and VII in ANNEXURE XII and also provide full and complete information for conducting expense. If the results of any Technical Audit are not found to be satisfactory by either the Operator or the Broadcaster, then the Broadcaster shall work with the Operator in resolving this issue in the next twenty one (21) working days. If a solution is not reached at during the staid period, the Broadcaster may, at its sole discretion, terminate the Operator’s right to distribute the Subscribed Channel(s) or take other actions as provided under this Agreement, until such systems, procedures and security measures have been corrected to the Broadcaster’s satisfaction. 11.3. If so instructed by Information ‘information’ (as defined described below) by ZEELthe Broadcaster, the IPTV Operator shall takesuch action as permitted under Applicable Laws including shut off or de-authorize the transmission to any unauthorized subscriber/ subscriber or Subscriber indulging in piracy, within ten minutes from the time it receives such instruction from ZEELPiracy. Any communication under this Clause 11.5 shall be considered as valid Information information only if if: (i) the information is sent through e-mail email in a format as mutually agreed by the parties Parties; and (ii) the information is sent by a person(s) who is is/are designated to send such information. However, the “information” theinformation may even be provided by ZEEL representatives the Broadcaster through other means of communications such as telephonic message, fax fax, etc. and the said “information” information shall later be confirmed by ZEEL the Broadcaster through e-mail and the IPTV Operator shall be under obligation to act upon such information.
11.5. The Broadcaster plans to actively combat Piracy of the Channel(s) in the Territory and the Operator undertakes to work closely and provide all such assistance to the Broadcaster as may be reasonably required by the Broadcaster in such regard. The Operator shall, at its own expense, take all necessary steps to comply with obligations set forth in Schedule 2.
