Anticipated Failure to Supply. In the event that LTS, at any time during the term of this Agreement shall have reason to believe that it will be unable to supply NuPathe with at least [**]% of the quantity of Drug Product forecasted to be ordered or actually ordered by NuPathe in a timely manner and in conformity with the warranties set forth in Section 8.2 (an “Anticipated Failure to Supply”), LTS shall promptly notify NuPathe thereof. Compliance by LTS with this Section 2.7 shall not relieve LTS of any of its obligations under this Agreement.
Anticipated Failure to Supply. In the event that APR is aware or anticipates that it will be unable to timely meet any Purchase Order, either in whole or in part, for whatever reason, APR shall promptly inform the Licensee in writing of such inability. APR shall promptly inform the Licensee of any notice, written or oral, received from any materials supplier regarding a possible shortage or inability to supply. In the event that there is a failure to substantially satisfy the Licensee’s Purchase Orders for the Product, then APR and the Licensee will immediately work together, in good faith, to identify an appropriate alternative source of Product supply.
