Common use of Antidilution Rights Clause in Contracts

Antidilution Rights. The antidilution rights applicable to the Shares of Series Preferred Stock purchasable hereunder upon exercise of this Warrant are set forth in the Company’s Amended and Restated Certificate of Incorporation, as may be amended from time to time after the date hereof (the “Charter”). The antidilution rights applicable to such shares of Series Preferred Stock may be restated, amended, modified or waived from time to time as permitted by the Charter. The Company shall use its commercially reasonable efforts to promptly provide the holder hereof with any restatement, amendment, modification or waiver of the Charter promptly after the same has been made.

The antidilution rights applicable to the Shares of Series C Preferred Stock purchasable hereunder upon exercise of this Warrant are set forth in the Company’s Amended and Restated Certificate of Incorporation, as may be amended from time to time after the date hereof (the “Charter”). The antidilution rights applicable to such shares of Series C Preferred Stock may be restated, amended, modified or waived from time to time as permitted by the Charter. The Company shall use its commercially reasonable efforts to promptly provide the holder hereof with any restatement, amendment, modification or waiver of the Charter promptly after the same has been made.
