Applicable Law and Venue for Dispute Resolution. This Agreement shall be governed and construed exclusively in accordance with the laws of the state of Colorado, excluding its choice of law rules, and all claims relating to or arising out of this Agreement or the breach thereof, whether sounding in contract, tort or otherwise, shall likewise be governed exclusively by the laws of the state of Colorado, excluding its choice of law rules. Any controversy, claim, or dispute arising out of or related to this Agreement, or the breach thereof, shall be adjudicated in the courts of the county of Denver, Colorado, to which the parties consent to personal jurisdiction.
