APPLICABLE LAW AND VENUE OF LITIGATION. This Agreement shall be interpreted and construed in accordance with and governed by the laws of the State of Florida. Any suit or action brought by any party, concerning this Agreement, or arising out of this Agreement, shall be brought in Miami-Dade County, Florida. Each party shall bear its own attorney’s fees except in actions arising out of Consultant's duties to indemnify the City under ARTICLE 8 where Consultant shall pay the City’s reasonable attorney’s fees.

Each party shall bear its own attorney’s fees except in actions arising out of the Consultant's duties to indemnify the City under ARTICLE 8 Article 8, Indemnification, herein where the Consultant shall pay the City’s reasonable attorney’s feesfees when the City must institute, claim or intervene in a civil action to compel the Consultant to comply with the Indemnity.
