Applicable Law; Entire Agreement; Modification. This Agreement shall be construed in accordance with and be governed by the laws of the State of California, applicable to contracts made and to be performed entirely therein, by residents of the State of California. This Agreement, together with all Exhibits hereto and the Terms and Conditions, constitutes the entire agreement between the parties, and supersedes all previous understandings, commitments or representations concerning the subject matter. Each party acknowledges that the other party has not made any representations other than those that are contained herein. This Agreement may not be amended or modified, and none of its provisions may be waived, except by a writing signed by an authorized officer of the party against whom the amendment, modification or waiver is sought to be enforced.
