Common use of Application of Performance Condition Clause in Contracts

Application of Performance Condition. (i) The total number of shares of Restricted Stock awarded will be multiplied by the Performance Factor identified on the Restricted Stock Payout Schedule that corresponds to the Corporation’s relative ranking in relation to the Peer Group and the Index, and the weightings assigned thereto, to determine the number of shares of Restricted Stock earned. The Restricted Stock Payout Schedule is attached hereto as Exhibit B.
