Appointment and Cooperation. With respect to all of the rights and activities of Aegerion set forth in this Section 6, Bayer hereby appoints Aegerion as its agent for such purposes with the authority to act on Bayer’s behalf with respect to the Bayer Patent Rights. Bayer shall cooperate with Aegerion in the exercise of Aegerion’s authority granted herein, and shall execute such documents and take such additional action as Aegerion may request in connection therewith. The Parties shall update Exhibits B-1 and B-2 upon either Party’s reasonable request.
