Appointment Coupled with an Interest. The appointment of the Borrower Representative shall be deemed coupled with an interest and shall be irrevocable for the period of time during which the Loan is outstanding (the “Term”). The Lender and any other Person may conclusively and absolutely rely, without inquiry, upon any action of the Borrower Representative in all matters referred to herein. All notices required to be made or delivered by the Lender to any Borrower shall be made to the Borrower Representative at the address set forth below its signature block for the benefit of such Borrower and shall discharge in full all notice requirements of the Lender to such Borrower with respect thereto. Each of the Borrowers hereby confirms all that the Borrower Representative shall do or cause to be done by virtue of his appointment as the Borrower Representative of such Borrower. The Borrower Representative shall act for the Borrower on all of the matters set forth in this Agreement in the manner the Borrower Representative believes to be in the best interest of the Borrowers and consistent with the obligations under this Agreement, but the Borrower Representative shall not be responsible to the Borrowers for any loss or damages any of the Borrowers may suffer by the performance by the Borrower Representative of its duties under this Agreement, other than loss or damage arising from willful violation of the law by the Borrower Representative or gross negligence in the performance by the Borrower Representative of its duties under this Agreement. In the event that the Borrower Representative shall become incapacitated or shall resign as Borrower Representative, the Borrowers shall appoint a substitute borrower representative by vote of the majority of Borrowers.

  • Appointment of Attorney-in-Fact Each Credit Party hereby constitutes and appoints Lender as its attorney-in-fact with full authority in the place and stead of such Credit Party and in the name of such Credit Party, Lender or otherwise, from time to time in Lender’s discretion while an Event of Default is continuing to take any action and to execute any instrument that Lender may deem necessary or advisable to accomplish the purposes of this Agreement, including: (a) to ask, demand, collect, xxx for, recover, compound, receive and give acquittance and receipts for moneys due and to become due under or in respect of any of the Collateral; (b) to adjust, settle or compromise the amount or payment of any Account, or release wholly or partly any customer or obligor thereunder or allow any credit or discount thereon; (c) to receive, endorse, and collect any drafts or other instruments, documents and chattel paper, in connection with clause (a) above; (d) to file any claims or take any action or institute any proceedings that Lender may deem necessary or desirable for the collection of any of the Collateral or otherwise to enforce the rights of Lender with respect to any of the Collateral; and (e) to sign and endorse any invoices, freight or express bills, bills of lading, storage or warehouse receipts, assignments, verifications and notices in connection with Accounts and other documents relating to the Collateral. The appointment of Lender as each Credit Party’s attorney and Lender’s rights and powers are coupled with an interest and are irrevocable until payment in full and complete performance of all of the Obligations.

  • Control Agreement; Appointment of Attorney-in-Fact The Advisor agrees to execute and deliver to the Board, in form and substance satisfactory to the Board, a Control Agreement by, between and among the Trust, the Advisor and the Securities Intermediary (the “Control Agreement”) pursuant to and consistent with Section 8-106(c) of the New York Uniform Commercial Code, which shall terminate when the Collateral Account is no longer required under this Agreement.   • Appointment of Attorney The Obligor hereby irrevocably constitutes and appoints the Security Agent (and any officer of the Security Agent) the true and lawful attorney of the Obligor.   • Appointment as Proxy Voting Agent Subject to and in accordance with the provisions hereof, the Trustees hereby appoint Subadviser as the Fund’s proxy voting agent, and hereby delegate to Subadviser discretionary authority to vote all proxies solicited by or with respect to issuers of securities in which the assets of the Fund may be invested from time to time. Upon sixty (60) days written notice to Subadviser, the Trustees may at any time withdraw the authority granted to Subadviser pursuant to this Section 1.3 to perform any or all of the proxy voting services contemplated hereby.

NONE OF LENDER OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS OR REPRESENTATIVES SHALL BE RESPONSIBLE TO ANY GRANTOR FOR ANY ACT OR FAILURE TO ACT UNDER ANY POWER OF ATTORNEY OR OTHERWISE, EXCEPT IN RESPECT OF DAMAGES ATTRIBUTABLE SOLELY TO THEIR OWN GROSS NEGLIGENCE OR WILLFUL MISCONDUCT AS FINALLY DETERMINED BY A COURT OF COMPETENT JURISDICTION, NOR FOR ANY PUNITIVE, EXEMPLARY, INDIRECT OR CONSEQUENTIAL DAMAGES.
