Common use of APPOINTMENT OF SUB-ADVISER Clause in Contracts

APPOINTMENT OF SUB-ADVISER. The Adviser hereby appoints, and the Company hereby approves, the Sub-Adviser to render investment research and advisory services to the Adviser and the Company with respect to the Funds, under the supervision of the Adviser and subject to the policies and control of the Company's Board of Directors, and the Sub-Adviser hereby accepts such appointment, all subject to the terms and conditions contained herein.

The Sub-Adviser shall use its best judgment, efforts and facilities in rendering its services as investment adviser.

APPOINTMENT OF SUB-ADVISER. The Adviser hereby appoints, and the Company Trust hereby approves, the Sub-Adviser to render investment research and advisory services to the Adviser and the Company Trust with respect to some portion or all of the Fundsassets of the Master Portfolios as the Adviser may determine from time to time, under the supervision of the Adviser and subject to the policies and control of the CompanyTrust's Board of DirectorsTrustees, and the Sub-Adviser hereby accepts such appointment, all subject to the terms and conditions contained herein.
