Common use of Appointment of Sub-processors Clause in Contracts

Appointment of Sub-processors. 6.1. We shall not subcontract any of Our processing obligations under this DPA without Your prior written consent. For the purposes of this DPA, You hereby authorize Us to use the Sub- Processors listed in Schedule 1. 6.2. Where We appoint a Sub-Processor in accordance with clause 6.1, We shall ensure that each Sub-Processor's contract: 6.2.1. is on terms that are consistent with and at least as onerous as those set out in this DPA; 6.2.2. is terminated immediately on termination of this DPA for any reason; and 6.2.3. to the extent applicable, flows down the same obligations as are applicable to Us (and Our Sub-Processors) as set out in any of EU standard contractual clauses which may be entered into between You and Us. 6.3. We shall at all times remain liable for the acts and omissions of any Sub-Processor as if such acts and omissions were those of Us.
