Appraisal Disputes. XXXXXXX-XXXXXXXX shall have the right to protest and/or contest any assessment of the real and/or personal property improvements by the McLennan County Appraisal District, however, if during the term of this Agreement, an appraisal dispute initiated by XXXXXXX-XXXXXXXX or an agent or representative of SHERWIN-WILLlAMS results in the reduction of the appraised value of the Real Property and Improvements below Thirty Three Million Dollars ($33,000,000.00); or, results in the reduction of the appraised value Res. 2015-661 October 20, 2015 of the Personal Property Improvements below Six Million Dollars ($6,000,000.00), less depreciation based on a IO year depreciation schedule, except that fork I ifts wi 11 depreciate on a fi ve (5) year depreciation schedule, XXXXXXX-XXXXXXXX shall be required lo repay to WMCEDC Incentive Funds amounts awarded under this Agreement as forth below in Paragraph 3.6a and Paragraph 3.6b.

  • Calculation Disputes If the Defaulting Party disputes the Non-Defaulting Party’s calculation of the Settlement Amount or Termination Payment, in whole or in part, the Defaulting Party will, within two Business Days of receipt of Non-Defaulting Party’s calculation, provide to the Non- Defaulting Party a detailed written explanation of the basis for such dispute; provided, however, that the Defaulting Party must first transfer Performance Assurance to the Non-Defaulting Party in an amount equal to the full Settlement Amount or Termination Payment, as applicable. References to Defaulting Party and Non-Defaulting Party in this Section include the Potentially Defaulting Party and Potentially Non-Defaulting Party, as applicable.

  • Legal Disputes 3.1 Pursuant to New York City Health and Hospitals Corporation Act, Chapter 1016-69, Section 20, all actions against NYC Health + Hospitals shall be brought in the City , in the county in which the cause of action arose, or if it arose outside of the City , in the City , County of New York. The Parties consent to the dismissal or transfer to any claims asserted inconsistent with this section. If Vendor initiates any action in breach of this section, Vendor shall promptly reimburse NYC Health + Hospitals for any attorneys’ fees incurred to remove the action to the contractually agreed upon venue.

  • Contract Disputes The Parties shall deal in good faith and attempt to resolve potential disputes informally. If the dispute concerning a question of fact arising under the terms of this Contract is not disposed of in a reasonable period of time by the Contractor’s Supervisor and the County‘s project manager as specified in Article 25.   • MEDICAL DISPUTE In the event of a dispute involving an employee's health as it affects the employee's ability to perform his/her job on return to work at the University from a layoff or leave of absence of any kind, and if the employee is not satisfied with the determination of the University's physician, the employee may submit a report from a medical doctor of his/her own choosing at his/her own expense. If the dispute still exists, at the request of the employee, the University's physician and the employee's doctor shall agree upon a third medical doctor to submit a report to the University and the employee, and the decision of such third party regarding the employee's health as it affects the employee's ability to perform his/her job will be binding on both parties. The expense of the examination by the third party shall be shared equally by the University and the employee.
