Approval of Counsel; Corporate Matters. All actions, proceedings, resolutions, instruments and documents required to carry out this Agreement or incidental hereto and all other related legal matters shall have been approved on the Closing Date by Morgan, Lewis & Bockius LLP, counsel for the Buyer, in the exercise of xxxxx xxxxxxable judgment. The Sellers shall also have delivered to the Buyer such other documents, instruments, certifications and further assurances as such counsel for the Buyer may reasonably require.
