Opinion of General Counsel for the Company. The General Counsel of the Company shall have furnished to the Representatives, at the request of the Company, his written opinion, dated the Closing Date and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex A-2 hereto.
Opinion of General Counsel for the Company. Xxxxx Xxxxxxx, Executive Vice President, General Counsel, Corporate Secretary and Chief Compliance Officer for the Company, shall have furnished to the Representatives, at the request of the Company, a written opinion, dated the Closing Date and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex E hereto.
Opinion of General Counsel for the Company. The Representative shall have received an opinion, dated such Closing Date, of Xxxxx X. Xxxxxxx, General Counsel for the Company, as to the matters described in Schedule F hereto.
Opinion of General Counsel for the Company. Xxxxxxx X. Xxxxxxxxxx, General Counsel of the Company, shall have furnished to the Underwriters, a written opinion, dated the Closing Date or any Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Underwriters, to the effect set forth in Annex A-2 hereto.
Opinion of General Counsel for the Company. Xxxxxx X. Xxxxx, Xx., general counsel for the Company, shall have furnished to the Representatives his written opinion, dated the Closing Date, in form as set forth on Exhibit A-2 hereto.
Opinion of General Counsel for the Company. The Underwriter shall have received from Xxxxxx XxXxxxxxx, Senior Vice President and General Counsel of the Company, an opinion, dated the Closing Date and addressed to the Underwriter, in form and substance reasonably satisfactory to the Underwriter and its counsel.
Opinion of General Counsel for the Company. At Closing Time, the Representatives shall have received the favorable opinion, dated as of Closing Time, of Xxxxxx X. Xxxxxx, Esq., general counsel for the Company, in form and substance satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters to the effect set forth in Exhibit B hereto and to such further effect as counsel to the Underwriters may reasonably request.
Opinion of General Counsel for the Company. If requested by the Representatives, the favorable opinion of Xxxxx Xxxxxxxx, General Counsel for the Company, in form and substance satisfactory to counsel for the Underwriters, dated such Date of Delivery, relating to the Option Securities to be purchased on such Date of Delivery and otherwise to the same effect as the opinion required by Section 5(f) hereof.
Opinion of General Counsel for the Company. The Underwriter shall have received an opinion, dated such Closing Date, of Xxxxxxx X. Xxxxxx, General Counsel for the Company, as to the matters described in Schedule F hereto.
Opinion of General Counsel for the Company. R. Xxxxxxx Xxxxx, Esq., in his capacity as General Counsel for the Company and not in his personal capacity, shall have furnished to the Representative, at the request of the Company, his written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Representative, substantially in the form set forth in Annex A-3 hereto. The Representative acknowledges and agrees that such General Counsel shall not have any personal liability in connection with or arising from the delivery or content of such opinion.
