Common use of Approvals and Regulatory Filings Clause in Contracts

Approvals and Regulatory Filings. All necessary Authorizations -------------------------------- of Governmental Authorities required to consummate the transactions contemplated hereby shall have been obtained without any term or condition that would materially impair the value of Seller and the Seller Subsidiaries, taken as a whole, or that would materially impair the value of Parent and the Parent Subsidiaries, taken as a whole. All conditions required to be satisfied prior to the Effective Time by the terms of such approvals and consents shall have been satisfied; and all statutory waiting periods in respect thereof shall have expired.
