Common use of Approvals and Regulatory Filings Clause in Contracts

Approvals and Regulatory Filings. All necessary -------------------------------- Authorizations of Governmental Authorities required to consummate the transactions contemplated by this Agreement shall have been obtained without any term or condition that would materially impair the value of Seller, or that would materially impair the value of Parent and the Parent Subsidiaries, taken as a whole. All conditions required to be satisfied prior to the Effective Time by the terms of such Authorizations shall have been satisfied; and all statutory waiting periods in respect thereof shall have expired.
