Common use of Approvals, Permits and Licenses Clause in Contracts

Approvals, Permits and Licenses. All such Governmental Approvals required to have been obtained as of the Physical Completion Date (including any Governmental Approvals disclosed in writing by the Borrower and required to have been obtained as of that date) have been obtained and are in full force and effect and are not under appeal or subject to other proceedings or unsatisfied conditions that could reasonably be expected to result in a material modification or cancellation as of the date hereof. The Borrower is in compliance with all such Governmental Approvals, the non-compliance with which could reasonably be expected to have a Material Adverse Effect.
