Common use of Arbitration and Governing Law Clause in Contracts

Arbitration and Governing Law. 6.3.1 The Contract and any non-contractual rights and obligations arising out of or in connection with it shall be governed by, interpreted and construed in accordance with the laws of England and Wales notwithstanding the choice of law rules of any jurisdiction and determined without reference to the principles of conflicts of laws. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to the Contract. 6.3.2 Any dispute arising out of or in connection with this Contract, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration under the rules of the Arbitration Institute of the Stockholm Chamber of Commerce valid at the date of claim submission ("SCC Rules"), which SCC Rules are deemed to be incorporated by reference into this Article. The legal seat of arbitration shall be Stockholm, Sweden. 6.3.3 The rules for expedited arbitrations established by the Arbitration Institute of the Stockholm Chamber of Commerce shall apply where the amount in dispute does not exceed EUR 500,000. Where the amount in dispute exceeds EUR 500,000 the standard SCC Rules shall apply. The arbitral tribunal shall be composed of a sole arbitrator where the amount in dispute exceeds EUR 500,000 but not EUR 1,000,000. Where the amount in dispute exceeds EUR 1,000,000, the arbitral tribunal shall be composed of three arbitrators.
