Arm’s-Length Negotiations and Good Faith. 7.5 The Parties have negotiated all of the terms and conditions of this Settlement Agreement at arm’s length, including with the assistance and involvement of a neutral mediator. All terms, conditions, and exhibits in their exact form are material and necessary to this Settlement Agreement and have been relied upon by the Parties in entering into this Settlement Agreement. The Parties agree to act in good faith during the settlement administration process.
