Common use of Arranger’s and Administrative Agent’s Fees Clause in Contracts

Arranger’s and Administrative Agent’s Fees. On the Closing Date, the Borrower shall pay certain fees to the Arranger and Administrative Agent to be shared among them and the Borrower shall pay certain fees to the Administrative Agent for the Administrative Agent’s own account as an administrative agency fee, in the amounts and at the times specified in the letter agreement dated October 19, 2007 (the “Agent/Arranger Fee Letter”), between the Borrower and Royal Bank of Canada. Such fees shall be fully earned when paid and shall be nonrefundable for any reason whatsoever. Additionally, Borrower shall pay to the Administrative Agent for the Administrative Agent’s own account the fees in the amounts and on the dates specified in the Agent/Arranger Fee Letter.
