Articles of Exchange. Immediately following the Closing, Hemcure shall file Articles of Exchange with the Secretary of State of Nevada, in the form of Exhibit A hereto. The transactions contemplated by this Agreement shall become effective at such time as the Articles of Exchange are duly filed in the State of Nevada pursuant to Section 92A.240 of the Nevada Revised Statutes.
Articles of Exchange. On the Closing Date, the Purchaser will file Articles of Exchange with the Secretary of State of the State of Nevada to evidence the completion of the Transaction, if required under Applicable Laws.
Articles of Exchange. Upon the approval and adoption of this Plan as provided in Article V, and subject to the any other provisions herein, Articles of Exchange complying with the applicable provisions of the laws of the States of Nevada and California, as applicable, shall be duly executed by the appropriate officers of NDS and FOCUS and shall be filed with the appropriate offices of the States of Nevada and California. Immediately upon the completion of such filings, this Plan shall become effective.
