Articles of Share Exchange. A duly executed original of the Articles of Share Exchange.
Articles of Share Exchange. Articles of Share Exchange with respect to the Acquisition shall have been executed, delivered and filed with the Secretary of State of the State of Florida by each of the Constituent Corporations on the Closing Date.

Articles of Share Exchange. Pursuant to Section 40-00-000 of the Tennessee Business Corporation Act (the “Act”), SouthEast Bancshares, Inc. (the “Company”) and SouthEast Bank & Trust (the “Bank”) hereby deliver the following Articles of Share Exchange and state as follows:
Articles of Share Exchange. The Share Exchange shall be effectuated at the Effective Time pursuant to Articles of Share Exchange ("Articles of Share Exchange") filed in accordance with applicable provisions of the Washington Business Corporation Act. The Articles of Share Exchange shall be filed with the Washington Secretary of State together with any other filings or recordings required by Washington law in connection with the Share Exchange as soon as practicable after the Closing (as defined below). The term "Effective Time" as used in this Agreement means the time at which the Share Exchange becomes effective under the laws of the State of Washington.

Pursuant to the provisions of the Colorado Business Corporation Act, AMERICAN INVESTMENT NETWORK, INC., a Mississippi corporation ('American"), and CITIZENS INSURANCE COMPANY OF AMERICA, a stock insurance company organized under the laws of the State of Colorado ("CICA"), adopt the following articles of share exchange:

As promptly as possible after the Closing, ONTN shall Articles of Share Exchange in substantially the form of Exhibit A attached hereto with the Secretary of State of the State of Florida. The date and time that the Articles of Share Exchange are so filed is hereinafter referred to as the "Effective Time."
