As to Equipment and Inventory. (a) Each Grantor will keep the Equipment and Inventory of such Grantor (other than Inventory sold in the ordinary course of business) at the places therefor specified in Section 9(b) or at such other locations designated by the Grantor by written notice to the Administrative Agent within 10 days of the placement of any Equipment and Inventory at such other locations. Upon the giving of such notice, Schedule IV shall be automatically amended to add any new locations specified in the notice. (b) Each Grantor will cause the Equipment of such Grantor to be maintained and preserved in the same condition, repair and working order as when new, ordinary wear and tear excepted, and in accordance with any manufacturer’s manual, and will forthwith, or in the case of any loss or damage to any of such Equipment as soon as practicable after the occurrence thereof, make or cause to be made all repairs, replacements and other improvements in connection therewith that are necessary or desirable to such end. Each Grantor will promptly furnish to the Administrative Agent a statement respecting any loss or damage to any of the Equipment or Inventory of such Grantor. (c) Each Grantor will pay promptly when due all property and other taxes, assessments and governmental charges or levies imposed upon, and all claims (including, without limitation, claims for labor, materials and supplies) against, the Equipment and Inventory of such Grantor, except to the extent payment thereof is not required by Section 5.01(b) of the Credit Agreement. In producing its Inventory, each Grantor will comply with all requirements of applicable law, including, without limitation, the Fair Labor Standards Act.

Each Grantor will promptly furnish to the Administrative Agent a statement respecting any material loss or damage to any of the Equipment or Inventory of such GrantorEquipment.
(c) Each c. Grantor will pay promptly when due before delinquent all property and other taxes, assessments and governmental charges or levies imposed upon, and all claims (including, without limitation, claims whether for labor, materials and or supplies) against, the Equipment and Inventory of such GrantorInventory, except to the extent payment the validity thereof is not required being contested in good faith by Section 5.01(b) of the Credit Agreement. In producing its Inventory, each Grantor will comply appropriate proceedings diligently prosecuted and for which adequate reserves in accordance with all requirements of applicable law, including, without limitation, the Fair Labor Standards ActGAAP have been set aside.

(c) Each Grantor will pay Pay promptly when due all property and other taxes, assessments and governmental charges or levies imposed upon, and all claims (including, without limitation, including claims for labor, materials and supplies) against, the Equipment and Inventory of Inventory; provided, however, that no Grantor shall be required to pay or discharge any such Grantortax, except assessment charge or levy that is being contested in good faith by proper proceedings and as to the extent payment thereof is not required by Section 5.01(b) of the Credit Agreementwhich appropriate reserves are being maintained, unless and until any Lien resulting therefrom attaches to its property and becomes enforceable against its other creditors.
