Assets Owned by Immureboost. Immureboost is involved in operating the Business. The assets of Immureboost being purchased by XXxxxxxxXxxxx.xxx pursuant to this Agreement and which are set forth on Schedule 1.1 (the “Acquired Assets”) represent some, but not all, of the assets of Immureboost. The Acquired Assets include all replacements and additions thereto between the date of this Agreement and the “Closing Date” (the date on which the transactions contemplated are consummated; the “Closing”). Seller agrees that it shall convey the shares representing the Acquired Assets to Buyer free and clear of all liens, encumbrances, liabilities and debts of any kind
