Common use of Assignment and Change in Control Clause in Contracts

Assignment and Change in Control. Buyer may assign, including to its customers, any or all of its rights and obligations under this Contract, without Seller's prior written consent. Seller may not assign, delegate or subcontract any of its rights or obligations under this Contract without prior written consent from an authorized SCM Representative. In addition, Buyer may terminate this Contract upon giving at least sixty (60) days’ notice to Seller, without any liability to Seller or obligation to purchase raw materials, work- in-process or finished Goods, including under Section 11, if Seller: (a) sells, or offers to sell, a material portion of its assets, (b) sells or exchanges, or offers to sell or exchange, or causes or permits to be sold or exchanged, a sufficient amount of its stock or other equity interests that effects a change in the control of Seller, or (c) executes, or otherwise becomes subject to, a voting or other agreement or trust that effects a change in the control of Seller.
