Common use of Assignment and Sublicensing Clause in Contracts

Assignment and Sublicensing. Neither party shall assign or sublicense this Agreement, in whole or in part, or any of its rights, duties and obligations hereunder without the prior written consent of the other party, which consent shall not unreasonably be withheld or delayed; provided, however, that Licensor shall have the right, upon written notice to Licensee, to assign or sublicense this Agreement, in whole or in part, to an Affiliate of Licensor or the purchaser of all or substantially all of Licensor’s business under, or the right to use, the Trademarks.

Assignment and Sublicensing. Neither party shall assign assign, transfer or sublicense this Agreement, in whole or in part, Agreement or any of its rights, duties and rights or obligations hereunder without the prior written consent of the other party, which consent shall not be unreasonably be withheld in the case of the merger, acquisition or delayed; provided, however, that Licensor shall have the right, upon written notice to Licensee, to assign or sublicense this Agreement, in whole or in part, to an Affiliate of Licensor or the purchaser sale of all or substantially all of Licensor’s business under, or the assets of either party. Licensor may assign its right to use, the Trademarkspayment hereunder or grant a security interest in this Agreement or such payment right to any third party.
