ASSIGNMENT AND TRANSFERS BY BANKS. Any Bank may, at any time, assign all or (subject to the proviso below) any of its rights and benefits hereunder or transfer in accordance with Clause 35.5 all or any of its rights, benefits and obligations hereunder (i) to any holding company, any of its wholly-owned subsidiaries or any affiliate or (ii) with the prior written consent of the Principal Company (not to be unreasonably withheld or delayed) to any other person provided that (without prejudice to a Bank's right to assign and/or transfer all of its rights, benefits and obligations hereunder in accordance with this Clause 35.3) a Bank shall be entitled to assign and/or transfer part of its Participation hereunder only in an amount equal to or exceeding $10,000,000 and then only if it retains a Participation of not less than $25,000,000.

Any Bank may, at any time, assign all or (subject to the proviso below) any of its rights and benefits hereunder or transfer in accordance with Clause 35.5 25.3 (Transfers by Bank) all or any of its rights, benefits and obligations hereunder (i) to any holding company, any of its wholly-owned subsidiaries or any affiliate or (ii) with the prior written consent of the Principal Company Borrower (not to be unreasonably withheld or delayed) to any other person provided that (without prejudice to a Bank's right to assign and/or transfer all of its rights, benefits and obligations hereunder in accordance with this Clause 35.325.1) a Bank shall be entitled to assign and/or transfer part of its Participation hereunder only in an amount equal to which is in a minimum amount of US$25,000,000 unless it assigns or exceeding $10,000,000 and then only if it retains a Participation transfers the whole of not less than $25,000,000its Participation.
