Common use of Assignment Approval Clause in Contracts

Assignment Approval. (a) Subject to clause 14.2 below, neither the rights nor the obligations of either party to this Agreement may be assigned, in whole or in party, or delegated by either party without the prior written approval of the other party, which approval will not be unreasonably withheld or delayed. (b) Royal may assign this Agreement to any Affiliate or subsidiary of Royal or to any entity which succeeds to Royal’s business without consent of the Referrer. However, in that event, Royal must notify the Referrer in writing within a reasonable period following such assignment.
