RIGHTS OF THE BOARD. A. The Board retains and reserves unto itself, on its own behalf and on behalf of the electors of the school district, without limitation all rights, powers, duties, responsibilities and authority vested in it by the laws and constitution of the State of Michigan and the United States including, but without limiting the foregoing, the right:
1. To the executive management and administrative control of the school system, its properties and facilities and the activities of its workforce, including but not limited to the right to determine the placement of operations, the number and location, relocation and closing of its facilities, including the establishment or relocation of new schools, buildings, and departments and the right to establish, modify or change any educational or administrative program or area;
2. To hire all employees, and subject to the provisions of law, to determine their qualifications and the conditions for their employment and continued employment, or their dismissal, discipline, suspension or demotion; to determine the number of employees, including but not limited to bargaining unit members employed; to layoff and reduce the number of bargaining unit members employed and to promote and transfer all such employees;
3. To manage and direct the work force, and to decide upon the work to be performed and how it is to be performed, including but not limited to the right to establish, modify, or change any business or school hours or days not in conflict with the specific provisions of this Agreement, the location of programs and operations, the means, methods and processes of work, to determine the hours of employment, the schedules, duties, responsibilities and assignments of bargaining unit members and other employees with respect thereto, including without limitation the express right to assign and temporarily re-assign bargaining unit members as needed; and to determine the size of the administrative organization, its functions, authority, amount of supervision and its organization;
4. To subcontract in line with the statutory rights given the Board under Public Act 112 of the Public Acts of 1994 and other legal rights given the Board. Should Act 112 of the Public Acts of 1994 be amended as it pertains to the subcontracting of services, the parties will meet to renegotiate this section of the Master Agreement;

The Association recognizes that the Board has responsibility and authority to manage and direct on behalf of the public all the operations and activities of the School District to the full extent authorized by law provided that such rights and responsibilities shall be exercised by the Board in conformity with the provisions of this Agreement.

2. To hire all employees, determine their qualifications and the conditions for their continued employment, evaluate their performance, direct the activities and work of its employees and assign, transfer, promote, demote, discipline, suspend and/or discharge any employees;
3. To establish grades and courses of instruction, including special programs, and to provide for athletic, recreational and social events for students;
4. To select and approve textbooks, materials and aids used for instruction of students;
5. To determine class schedules, professional duties and responsibilities of teachers subject to Articles V, VI, and VII of this Agreement.
6. To determine the size of the work force, positions of employment, job descriptions and whether to expand or reduce the work force and/or create, eliminate or modify positions of employment;
7. To establish, continue or revise reasonable rules and regulations regarding the conduct and behavior of its employees, the manner and method of performing work and the procedures for administering and accounting for employee attendance and use of benefits;
8. To determine the standards of operation and performance and determine the means, method and processes of performing and/or accomplishing the work to be done including the assignment and distribution of tasks and work among the work force of the school district and to determine the services, supplies and equipment to conduct its operation, including the distribution thereof.
9. To determine the number and location or relocation of its facilities, including the establishment or relocations of new schools, buildings, departments, divisions thereof and the relocation or closing of offices, departments, divisions or subdivisions, buildings or other facilities and determine the financial policies, including all accounting procedures, and all matters pertaining to public relations.

RIGHTS OF THE BOARD. (a) The Board, on its own behalf and on behalf of the electors of the district, hereby retains and reserves unto itself without limitation, all powers, rights, authority, duties and responsibilities conferred upon and vested in it by the laws and Constitution for the State of Michigan and the United States, to manage and direct the Montrose Community Schools provided that such rights and responsibilities shall be exercised by the Board in the conformity with the provisions of this Agreement, but such rights established by law may not be infringed upon by any provision of this contract.
(b) The exercise of the legislative powers, right, authority, duties and responsibilities by the Board, the adoption of policies, rules, regulations and practices in furtherance thereof, and the use of judgment and discretion in connection therewith shall be limited only to the extent such specific and express terms hereof are in conformance with the Constitution and laws of the State of Michigan and the Constitution and law of the United States.
RIGHTS OF THE BOARD. It is understood and agreed that all functions, rights, power, or authority of the administration of the school district and of the School Board which are not specifically limited by the express language of this Agreement are retained by the administration and the Board, provided however that no such right shall be exercised so as to violate any of the specific provisions of this Agreement.
RIGHTS OF THE BOARD. A. It is expressly agreed that all rights which ordinarily vest in and have been exercised by the board, except those which are clearly and expressly relinquished herein by the board, shall continue to vest exclusively in and be exercised exclusively by the board without prior negotiations with the Association either as to the taking of action under such rights or with respect to the consequence of such rights or with respect to the consequence of such action during the term of this Agreement. Such rights shall include, by way of illustration and not by way of limitation, the right to:
1. Manage and control its business, its equipment and its operations and to direct the working forces and affairs of the Xxxxxxx School District.
2. Continue its rights, policies and practices of assignment and direction of its personnel, determine the number of personnel and scheduling of all the foregoing, but not in conflict with the specific provisions of this Agreement.
3. To hire, promote, suspend and discharge employees, determine the size of the work force and to layoff employees, but not conflict with the provisions of this Agreement.
4. Adopt reasonable rules and regulations.
5. Determine the qualifications of employees, including physical conditions, providing such selection shall be based on lawful criteria.
6. Determine the number and location or relocation of its facilities, including the establishment of or relocation of new schools, buildings, departments, divisions or sub-divisions thereof and the relocation or closing of offices, departments, divisions or sub-divisions, buildings or other facilities.
7. Determine the placement of operations, production, service, maintenance or distribution of work, and the source of materials and supplies.
8. Determine the financial policies, including all accounting procedures and all matters pertaining to public relations.
9. Determine the size of the management organization, its functions, authority, amount of supervision and table of organization, provided that the board shall not abridge any rights from employees as specifically provided for in this Agreement.
10. Determine the policy affecting the selection, or training of employees providing that such selection shall be based upon lawful criteria.
B. The listing of specific management rights in this Agreement is not intended to be nor shall be restrictive of or a waiver of any rights of management not listed and specifically surrendered.

(1) The executive management and administrative control of the school system and its properties and facilities and the contractual activities of its employees.
(2) Hire all employees and subject to the provisions of law, to determine their qualifications and the conditions for their continued employment or their dismissal; and to promote and transfer all such employees.
(3) Establish grades and courses of instruction, including special programs, and to provide for athletic, recreational, and social events for students, all as deemed necessary or advisable by the Board after consultation with appropriate teaching and other professional staff members.
(4) Decide upon the means and methods of instruction, the selection of textbooks and other teaching materials, and the use of teacher aids of every kind and nature, after consultation with appropriate teaching and other professional staff members.
(5) Determine class schedules, the hours of instruction, and the related duties, responsibilities, and assignments of teachers and other employees, and for administrative and non-teaching activities, and the terms and conditions of employment. The exercise of the foregoing powers, rights, authority, duties, and responsibilities by the Board, the adoption of policies, rules, regulations, and practices in furtherance thereof, and the use of judgment and discretion in connection therewith, shall be limited only by the specific and express terms of this Agreement and by the Constitution and laws of the State of Michigan and the Constitution and laws of the United States.

2. To hire all teachers, to determine their qualifications and the conditions for their continued employment, or their dismissal or demotion; and to promote and transfer all such teachers.
B. The exercise of the foregoing powers, rights, authority, duties and responsibilities by the Board, the adoption of policies, rules, regulations and practices in furtherance thereof, and the use of judgement and discretion in connection therewith shall be limited only by the specific and express terms of this Agreement and then to the extent such specific and express terms thereof are in conformance with the Constitution and laws of the State of Michigan, and the Constitution and laws of the United States.

2. Hire all employees and subject to the provision of the law and this Agreement to determine their qualifications and the conditions for their continued employment, their placement, dismissal, suspension, layoff, or demotion, and to promote and transfer all such employees.
3. Determine the services, supplies, and equipment necessary to continue its operation and to determine all methods and means of operation.
4. Adopt rules and regulations.
5. Determine the number of locations or relocation of its facilities, including the establishment or relocation of new school buildings.
6. Determine the size of the management organization, its functions, authority, amount of supervision, and table of organization, provided that the Board shall not abridge any rights from employees as specifically provided in this Agreement.
7. Determine the policy affecting the selection of employees providing that such selection shall be based upon lawful criteria.
8. Determine the hours of employment and the duties, responsibilities, and assignments of employees with respect thereto, and the terms and conditions of employment which shall be expressed verbally or in writing to all employees at the time of employment. Duties, responsibilities, and assignments shall be determined with respect to other negotiated contracts.
B. The matters contained in this Agreement and/or the exercise of such rights of the Board are not subject to further negotiations between the parties during the terms of this Agreement unless by mutual consent.
C. Nothing in this Agreement shall be construed to limit the powers and responsibilities conferred upon the Board or the Superintendent under the laws or Constitution of the State of Michigan, specifically the rights and responsibilities as conferred under the Revised School Code.
D. The listing of specific management rights in this Agreement is not intended to be, nor shall it be restrictive of, or a waiver of, any rights of management not listed and specifically surrendered herein.
