Common use of Assignment by Host Customer Clause in Contracts

Assignment by Host Customer. Host Customer shall not assign this Agreement without the consent of System Owner (which consent not to be unreasonably withheld); provided, that in connection with any sale of the Premises after the Commercial Operation Date, Host Customer may, without the consent of System Owner, assign its interest in, and be released from its obligations under, this Agreement to the purchaser of the Premises, but solely to the extent that such purchaser shall expressly assume this Agreement in writing and agree to be bound by the terms and conditions hereof.
