Common use of Assignment by Licensor Clause in Contracts

Assignment by Licensor. Licensor shall have the right to assign this Agreement, and all of its rights and privileges hereunder, to any person, firm, corporation or other entity provided that, with respect to any assignment resulting in the subsequent performance by the assignee of the functions of Licensor: (i) the assignee shall, at the time of such assignment, be financially responsible and economically capable of performing the obligations of Licensor hereunder, and (ii) the assignee shall expressly assume and agree to perform such obligations.

Assignment by Licensor. Notwithstanding anything to the contrary herein, Licensor shall have has the express right to assign this Agreement, and all Agreement and/or any of its rights and privileges and/or obligations hereunder; provided, that any such assignment shall be subject to any person, firm, corporation or other entity provided that, with respect to any assignment resulting in the subsequent performance by the assignee of the functions of Licensor: (i) the assignee shall, at the time of such assignment, be financially responsible and economically capable of performing the obligations of Licensor rights granted hereunder, and (ii) the assignee shall expressly assume and agree to perform such obligations.

Assignment by Licensor. This Agreement is fully assignable by the Licensor and shall inure to the benefit of any assignee or other legal successor in interest The Licensor shall also have the right to assign this Agreement, and delegate the performance of any portion or all of its rights and privileges hereunderobligations hereunder to third parties, whether the same are agents of the Licensor or independent contractors with whom the Licensor has contracted to provide such services. The Master Licensee agrees in advance to any person, firm, corporation or other entity provided that, with respect to any assignment resulting in the subsequent performance such delegation by the assignee Licensor of the functions any part or portion of Licensor: (i) the assignee shall, at the time of such assignment, be financially responsible its obligations and economically capable of performing the obligations of Licensor duties hereunder, and (ii) the assignee shall expressly assume and agree to perform such obligations. 12.6.
