Assignment by the Grantee. The Grantee must not assign any right or obligation under this Agreement to any person without the prior written consent of the VBA's Representative which can be given or withheld in the VBA's Representative's sole and unfettered discretion.
Assignment by the Grantee. The Grantee may not assign, novate or otherwise deal with its rights and obligations under this Agreement or allow any interest in them to arise or be varied in each case, without the prior written consent of the State. For the purposes of this clause and for the avoidance of any doubt, an assignment under this clause includes but is not limited to a change in the ultimate or beneficial ownership of the Grantee, such that the assignment results in a change in Control of the Grantee.
Assignment by the Grantee. The Grantee may from time to time after the occurrence of an Event of Default assign the Secured Obligations to a successor Xxxxxxx, and such successor shall be entitled to all the rights and remedies of the Grantee, and responsible for all of Grantee’s obligations, under this Agreement in relation thereto.
