Common use of Assignment by the Guarantor Clause in Contracts

Assignment by the Guarantor. The Guarantor may not assign or transfer any of its respective rights and obligations under this Agreement without the prior written consent of the Bond Trustee and the Cash Manager and satisfaction of the Rating Agency Condition in respect thereof, except that the Guarantor may, without such consent, assign its rights and interest hereunder pursuant to the terms of the Security Agreement.
