Common use of Assignment by the Party Clause in Contracts

Assignment by the Party. Each Party may transfer its ownership of Intellectual Property Right to a third party with the prior written approval of the other Party, but only so long as and to the extent the Party remains responsible for cost sharing and other cooperation required under this Agreement, if any, for such Intellectual Property Rights.
