Common use of Assignment by the Supplier Clause in Contracts

Assignment by the Supplier. (a) The Supplier must not assign, novate, mortgage or charge all or any part of its rights or obligations under or in accordance with the Agreement without the Company’s prior written consent, which the Company may, in its absolute discretion, refuse to give. (b) No assignment or novation shall be effective until the assignee has agreed in writing with the Company to perform the Supplier’s obligations under this Agreement.
