Prevention of Corruption. The Contractor shall not offer, give, or agree to give anything, to any person an inducement or reward for doing, refraining from doing, or for having done or refrained from doing, any act in relation to the obtaining or execution of the Contract or for showing or refraining from showing favour or disfavour to any person in relation to the Contract.

Prevention of Corruption. 6.1.1 The Supplier shall not offer or give, or agree to give, to any employee, agent, servant or representative of the Authority or any other public body or person employed by or on behalf of the Authority or any other public body, any gift or consideration of any kind which could act as an inducement or reward for doing, refraining from doing, or for having done or refrained from doing, any act in relation to this Contract or any other contract with the Authority or any other public body or person employed by or on behalf of the Authority or any other public body (including its award to the Supplier, execution or any rights and obligations contained in it), or for showing or refraining from showing favour or disfavour to any person in relation to any such contract. The attention of the Supplier is drawn to the criminal offences under the Prevention of Corruption Acts 1889 to 1916, and the Xxxxxxx Xxx 0000. 6.1.2 The Supplier warrants that it has not paid commission or agreed to pay any commission to the Authority or any other public body or any person employed by or on behalf of the Authority or any other public body in connection with the Contract or any other contract with the Authority or any other public body or person employed by or on behalf of the Authority or any other public body. 6.1.3 If the Supplier, its Staff or any person acting on the Supplier's behalf, engages in conduct prohibited by Clauses 6.1 or 6.1.2 above or commits any offence under the Prevention of Corruption Acts 1889 to 1916, or the Xxxxxxx Xxx 0000, the Authority may:- (a) terminate the Contract with immediate effect by giving notice in writing to the Supplier and recover from the Supplier the amount of any loss suffered by the Authority resulting from the termination; or (b) recover in full from the Supplier and the Supplier shall indemnify the Authority in full from and against any other loss sustained by the Authority in consequence of any breach of this clause, whether or not the Contract has been terminated.
Prevention of Corruption. 18.1 The Supplier shall comply with, and shall ensure that its Staff or anyone acting on the Supplier’s behalf comply with the applicable laws, regulations, codes and sanctions relating to anti-bribery and anti- corruption, including but not limited to the Xxxxxxx Xxx 0000. 18.2 The Supplier shall not offer or give, or agree to give, to the Customer or any other public body or any person employed by or on behalf of the Customer or any other public body any gift or consideration of any kind as an inducement or reward for doing, refraining from doing, or for having done or refrained from doing, any act in relation to the obtaining or execution of the Agreement or any other contract with the Customer or any other public body, or for showing or refraining from showing favour or disfavour to any person in relation to the Agreement or any such contract. 18.3 The Supplier warrants that it has not paid commission or agreed to pay commission to the Customer or any other public body or any person employed by or on behalf of the Customer or any other public body in connection with the Agreement. 18.4 If the Supplier, its Staff or anyone acting on the Supplier’s behalf, engages in conduct prohibited by clauses 18.1 or 18.3, the Customer may: 18.4.1 terminate the Agreement and recover from the Supplier the amount of any loss suffered by the Customer resulting from the termination, including the cost reasonably incurred by the Customer of making other arrangements for the supply of the Services and any additional expenditure incurred by the Customer throughout the remainder of the Agreement; or 18.4.2 recover in full from the Supplier any other loss sustained by the Customer in consequence of any breach of those clauses.

The attention of the Supplier is drawn to the criminal offences under the Prevention of Corruption Acts 1889 to 1916 and the Bribery Act 2010. 28.2 The Supplier warrants that it has not paid commission or agreed to pay commission to the Customer or any other public body or any person employed by or on behalf of the Customer or any other public body or any person employed by or on behalf of the Customer or a public body in connection with the Contract. For the avoidance of doubt, the parties agree that the management charge payable by the Supplier to the Authority in accordance the Framework Agreement shall not constitute a payment of commission. 28.3 If the Supplier, its Staff or any person acting on the Supplier's behalf, engages in conduct prohibited by clauses 28.1 or 28.2 above or any other contract with the Customer or any other public body or person employed by or on behalf of the Customer, the Customer may: 28.3.1 terminate the Contract with immediate effect by giving notice in writing to the Supplier and recover from the Supplier the amount of any loss suffered by the Customer resulting from the termination; and/or 28.3.2 recover in full from the Supplier any other loss sustained by the Customer in consequence of any breach of those clauses.

Prevention of Corruption. The Supplier: (a) acknowledges that it has read, is fully aware of and shall comply with all of the Company’s Anti- Corruption Policies; (b) shall comply with, and not engage in any activity, practice or conduct or omit to take any actions which will cause either it or the Company to be in violation of any Anti-Corruption Law or Anti-Corruption Policy; (c) acknowledges and hereby expressly agrees that, regardless of any other provision in this Agreement, nothing in this Agreement requires the Company to do, or omit to do, any act which would, in the Company’s reasonable opinion, put it in breach of any of the Anti-Corruption Law or Anti-Corruption Policy; (d) shall have and maintain in place throughout the term of this Agreement its own policies and procedures relating to the prevention of bribery, fraud, kickbacks and other corruption acts and ensure its compliance with the requirements of this clause 21, and will enforce them where appropriate; (e) if requested, provide the Company with all reasonable assistance, at the Company’s reasonable cost, to enable the Company to perform any activity required by any Authority for the purpose of compliance with any of the Anti-Corruption Law or Anti-Corruption Policy; (f) shall promptly report to the Company (i) any request or demand for any bribe, kickback, (ii) any request to engage in any fraudulent or corrupt act, and (iii) any attempt to gain an undue financial or other advantage of any kind, received by the Supplier or any Associated Person; (g) warrants to the Company that as at the Date of Agreement no Public Official is a direct or indirect owner, officer or employee, of the Supplier and undertakes to immediately notify the Company in writing if any Public Official becomes a direct or indirect owner, officer or employee, of the Supplier; and (h) shall, upon request, certify to the Company in writing signed by an officer of the Supplier, compliance with this clause 21.1 by the Suppler and all Associated Persons and provide such supporting evidence of compliance as the Company may reasonably request.
Prevention of Corruption. 1The Supplier, its Staff and the Supplier's agents and contractors, including each sub‑contractor shall not, in connection with this Agreement:
Prevention of Corruption. 25.1 The Beneficiary or anyone associated with the Beneficiary shall not: 25.1.1 offer or give, or agree to give, to the PCC or any other public body or any person employed by or on behalf of the PCC or any other public body any gift or consideration of any kind as an inducement or reward for doing, refraining from doing, or for having done or refrained from doing, any act in relation to the obtaining or execution of this Agreement or any other contract with the PCC or any other public body, or for showing or refraining from showing favour or disfavour to any person in relation to this Agreement or any such contract; 25.1.2 commit any offence under the Xxxxxxx Xxx 0000 or under any other applicable Law creating offences in respect of bribery, corruption or fraudulent acts or at common law in respect of fraudulent acts in relation to this Agreement or any other contract with the PCC. 25.2 For the purpose of this Clause 25, whether a person is associated with another person shall be determined in accordance with section 8 of the Xxxxxxx Xxx 0000 and a person associated with the Beneficiary includes any sub-contractor of the Beneficiary. 25.3 The Beneficiary warrants that it has not paid commission or agreed to pay commission to the PCC or any other public body or any person employed by or on behalf of the PCC or any other public body in connection with this Agreement. 25.4 If the Beneficiary, or anyone acting on the Beneficiary’s behalf, engages in conduct prohibited by Clause 25.1 or Clause 25.3, the PCC may terminate this Agreement and recover from the Beneficiary the amount of any Funding paid to the Beneficiary together with any loss sustained by the PCC in consequence of any breach of those Clauses. 25.5 Any dispute, difference or question arising in respect of the interpretation of this Clause 25 including the right of the PCC to terminate this Agreement, shall be decided by the PCC, whose decision shall be final and conclusive.
