Assignment for Financing Purposes. If, at any time or times, ---------------------------------- Landlord assigns this Lease or the Basic Rent payable hereunder to the Mortgagee, or to any other party for the purpose of securing financing (the Mortgagee and any other such party are referred to herein as the "Financing Party"), whether such assignment is conditional in nature or otherwise, the following provisions shall apply: (i) Such assignments to the Financing Party shall not be deemed an assumption by the Financing Party of any obligations of Landlord hereunder unless such Financing Party shall, by written notice to Tenant, specifically otherwise elect; (ii) To the extent the Financing Party has assumed obligations under (i) above, the Financing Party shall be treated as having assumed such obligations only upon foreclosure of its Mortgage (or voluntary conveyance by deed in lieu thereof) but before the Financing Party conveys the Land, Building or Premises to another party. Tenant hereby agrees to enter into such agreement or instruments as may, from time to time, be reasonably requested in confirmation of the foregoing.
