Common use of Assignment Generally Clause in Contracts

Assignment Generally. The provisions of this Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective heirs, legal representatives, successors and assigns, provided that neither the Company nor any Non- Xxxxx Stockholder may assign any of its rights or obligations hereunder without the consent of the Xxxxx Stockholders unless, in the case of a Non-Xxxxx Stockholder, such assignment is in connection with a Transfer explicitly permitted by this Agreement and, prior to such assignment, such assignee complies with the requirements of Section 12.4.

Assignment Generally. The provisions of this Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective heirs, legal representatives, successors and assigns; provided that, provided that neither the Company nor any Non- Xxxxx except in connection with Transfers explicitly permitted hereunder, no Restricted Stockholder may shall assign any of its rights or obligations hereunder pursuant to this Agreement without the consent prior written agreement of the Xxxxx Stockholders unless, in the case of a Non-Xxxxx Stockholder, such assignment is in connection with a Transfer explicitly permitted by this Agreement and, prior to such assignment, such assignee complies with the requirements of Section 12.4Parent.
