Assignment of Rights and Duties. The Contractor may not assign the Agreement except in accordance with Section 138 of the State Finance Law and Appendix A. The State may assign this Agreement to any New York State agency provided that the assignee agrees in writing to be bound by the terms and conditions of this Agreement. The State agrees to provide the Contractor 30 days’ prior written notice of any such assignment.
