Assignment of Rights and Obligations. 21.2.1 The Seller is entitled to assign all rights and obligations under the Agreement, including an order, to a third party without the Buyer's consent. 21.2.2 The Buyer is not entitled to assign the Agreement to a third party without the Seller's prior written consent. However, the Buyer is entitled to assign the rights and obligations under the Agreement to third parties with regard to taking delivery of Products as well as ordering and paying for Products. In the event of such assignment, the Buyer shall remain liable to the Seller for compliance with the Agreement.
