ASSIGNMENT OF RIGHTS OR OBLIGATIONS. 22.1. No part of the Supplier's rights and obligations under the Agreement may be assigned without the prior consent of GSK (acting at its sole discretion), which must be expressed in writing in order to be valid, and any such consent will not be deemed to relieve the Supplier of any of its obligations to GSK pursuant to the Agreement.
