Assignment of Unvested Share Repurchase Option. In the event the Corporation is unable to exercise the Unvested Share Repurchase Option pursuant to the provisions of Section 500 et seq. of the California Corporations Code, or the corresponding provisions of other applicable law, the Corporation shall have the right to assign the Unvested Share Repurchase Option to one or more persons as may be selected by the Corporation.
