Common use of Assignment of Work Product Clause in Contracts

Assignment of Work Product. All software code, written procedures, and other tangible property which is originally developed by Assigned Resources specifically for Client and delivered to Client as part of the Services (“Work Product”) shall be deemed “work made for hire” within the meaning and purview of section 101 of the United States Copyright Act, 17 U.S.C. Section 101. If and to the extent that any of the Work Product does not qualify as “work made for hire,” upon payment in full for the Services pertaining to same, TAP hereby irrevocably transfers, assigns, and conveys its rights in such Work Product to Client, free and clear of any liens, claims or other encumbrances, to the fullest extent permitted by law. TAP shall, at Client’s request and sole expense, execute all documentation necessary for Client to perfect their rights as provided hereunder.

If and , but to the extent that any of the Work Product does not qualify as "work made for hire,” upon payment in full for the Services pertaining to same" GTS and Assigned Personnel will irrevocably transfer, TAP hereby irrevocably transfers, assigns, assign and conveys convey its rights in such Work Product the copyright thereof to ClientCLIENT, free and clear of any liens, claims or other encumbrances, to the fullest extent permitted by law. TAP GTS and Assigned Personnel shall, at ClientCLIENT’s request and sole expense, execute all documentation necessary for Client CLIENT to perfect their rights as provided hereunder.
