Common use of Assignment or encumbrance Clause in Contracts

Assignment or encumbrance. Either Party may at any time assign the Agreement (contractsoverneming) or assign or encumber any of its rights thereunder to any of its affiliated companies, provided that such Party remains liable for its obligations under this Agreement. In such an event, the other party undertakes to cooperate to the extent necessary to effect such assignment expeditiously. Other than as provided for in this clause neither Party may assign this Agreement or assign or encumber any of its rights thereunder without the prior written consent of the other Party.

If a Party wishes to assign this Agreement to a Party to whom it Transfers all or a portion of its Shares pursuant to a Permitted Transfer in accordance with the terms of this Agreement and provided that such assignment shall only take effect as of and subject to Transfer of these Shares, such consent is hereby provided by each of the other Parties.
