The "Assignment or other dealing" clause governs whether and how a party to a contract may transfer its rights or obligations to another party. Typically, this clause restricts or conditions the ability to assign the contract, often requiring the other party’s consent before any assignment or transfer can occur. For example, a supplier may not be able to assign its delivery obligations to a subcontractor without the buyer’s approval. Assignment or other dealing. (a) The Service Provider must not assign or otherwise deal with its rights or obligations under this Contract or (except in the ordinary course of business) in respect of the Unregistered Service Equipment without AEMO’s written consent.
(b) AEMO must not unreasonably withhold or delay its consent under clause 16.4(a).
(c) AEMO (as a condition of consent under clause 16.4(a)) may require the Service Provider and the third-party to enter into a deed of novation with AEMO on terms that are reasonably satisfactory to AEMO under which the third-party agrees to assume obligations that are substantially equivalent to the Service Provider’s obligations under this Contract.
(d) Any purported assignment in breach of this clause 16.4 is invalid and of no legal effect.
