Common use of Assignment or Sub-Contracting Clause in Contracts

Assignment or Sub-Contracting. No performance of this contract or any portion thereof may be assigned or subcontracted by the contractor without the express written consent of the County. Any attempt by the contractor to assign or subcontract any performance of this contract without the express written consent of the County shall be invalid and shall constitute a breach of this contract. In the event that the contractor is authorized by the County to subcontract, this contract shall prevail and the terms of the subcontract shall incorporate by reference and not conflict with the terms of this contract. In the manner in which the County expects to receive services, the County shall look to the contractor for performance and not deal directly with any subcontractor. All matters related to this contract shall be handled by the contractor with the County; the County will have no direct contact with the subcontractor in matters related to the performance of this contract. All work must meet the approval of the County of Orange.
