Assignment Rights. Purchaser, in his sole discretion, may assign his rights under this Agreement to any person or persons.

Subject to the written consent of the Government, which shall not be unreasonably withheld, with the exception of the provisions of article 22.3.e), the rights and obligations arising out of this Agreement may be assigned by any of the entities comprising the Contractor, in whole or in part, to Third Parties with a well-established technical and financial reputation. The said Third Party assignees shall, together with the other entities that constitute the Contractor be jointly and severally liable for the obligations arising out of this Agreement. The conditions for all assignments and for joint and several ownership shall be approved in advance by the Government. If, within sixty (60) days following notification to the Government of a planned assignment, accompanied by all related information, and a draft of the assignment instrument, it has not notified its decision, this assignment shall be deemed to be approved by the Government. As of the date of approval of an assignment, the assignee shall be bound by the terms and conditions of this Agreement, and in the event of full assignment, the assignor will no longer be bound by the terms and conditions of this Agreement. Every assignment of rights or interests to Third Parties is subject to the payment of a transfer fee that is set in accordance with the law in force in the Republic of Côte d’Ivoire. The fees that are fixed for this purpose, in accordance with article 17.7, will be borne by the assignee who must pay them within thirty (30) days following the date on which the transfer was approved.

If the Company or the Xxxx Investors (or their assignees) shall have elected to exercise its Call Option to purchase Incentive Securities, then at any time prior to the closing of such transaction, the Company or the Xxxx Investors (or their assignees) may resell such of the Incentive Securities as have been purchased to any Executive(s) in such amount(s) as the Board shall determine in its full discretion and the relevant Executive shall have agreed to purchase. Such offer shall be effective with respect to all or any portion of the Call Option.

OWNER and XXXX each binds themselves, their partners, successors, assignees and legal representatives to the other party hereto and to the partners, successors, assignees and legal representatives of such other party in respect to all covenants, agreements and obligations contained in the Contract. No party shall assign, transfer or delegate any rights, obligations or duties under this Contract without the prior written consent of the other parties for which approval may be withheld for any reason or for no reason whatsoever. XXXX shall not assign, transfer, convey or otherwise dispose of the Contract or its right, title or interest in or to the same or any part thereof, without prior consent of OWNER and concurred to by the sureties.

Assignment Rights. 27.1 THE ASSOCIATE is entitled to fully or partially cede or transfer its rights, interests, and obligations in the Association Contract to another person, company or group, with the consent of the Minister of Mines & Energy and the President of ECOPETROL Consequently, THE ASSOCIATE must notify the Ministry of Mines & Energy and the President of ECOPETROL via a certified document of any project that implies total/partial assignment or transfer of its interest, rights and obligations hereunder, indicating essential points of the transaction such as possible assignee, price, interest, rights and obligations to be assigned, scope of the operation etc. The Minister of Mines & Energy and President of the Empresa Colombiana de Petroleos - ECOPETROL shall have thirty (30) business days to exercise their discretionary powers and appraise the possible assignees, and subsequently take a decision without being obliged to give reasons therefor. In any case, the criterion of the Minister of Mines & Energy shall prevail.
Assignment Rights. In Section 5.1 of the Agreement, the parties generally agree that Developer may not assign this Agreement or convey the Project Site without the approval of the City's Governing Body (in your reasonable discretion) and this requires analysis of a proposed assignee's qualifications, experience and financial condition. However, Section 5.3 of the Agreement allows certain assignments by Developer without City consent or approval – namely, (a) security interests granted to construction or permanent lenders, and (b) sales or leases to retail or residential tenants.
