Assignment to Affiliates. This Agreement and the rights and obligations hereunder shall be assignable, in whole or in part, by BIONUMERIK, without consent of GRELAN or KI PHARMA, to one or more Affiliates that is not a Competitor of GRELAN or KI PHARMA and who shall affirm to GRELAN and KI PHARMA a complete assumption of the obligations assigned; provided that BIONUMERIK shall guarantee the performance by such Affiliates) of such obligations.
