Common use of Assignment, Transfer or Sale by the Department Clause in Contracts

Assignment, Transfer or Sale by the Department. The City hereby‌ approves and consents to any assignment, transfer or sale of this Loan Agreement and/or the Bonds by the Department including but not limited to any such assignment or transfer in connection with the issuance by or on behalf of the Department of bonds, notes or other debt obligations. The City hereby further approves and consents to any assignment or pledge by the Department of payments due from the City pursuant to this Loan Agreement and the Bonds as security or partial security for the payment of principal and interest on such bonds, notes or other debt obligations issued by or on behalf of the Department. The City agrees to cooperate with the Department in accomplishing any such assignment, including execution of any additional certificates or documents as may be reasonably required by the Department.
